Buy Option definition

Buy Option. As defined in Section 10.2(a).
Buy Option has the meaning specified in Section 4.19 b. hereof.
Buy Option means the right of the Buyer, exercised by written notice to the Developer, to cause the Developer to transfer and sell to the Buyer, and the Buyer to purchase from the Developer, pursuant to the Asset Purchase Agreement substantially all of the assets of the Developer. Unless the Buyer elects in its own discretion to pay the Purchase Price, as adjusted, in cash, the Buyer may not exercise a Buy Option in the event at the time of exercise there shall be pending against the Buyer any proceeding under the United States Bankruptcy Code or any other federal or state bankruptcy, reorganization, receivership, insolvency or other similar law.

Examples of Buy Option in a sentence

  • If the Buy Option is accepted (or deemed accepted), the Offeror shall within five (5) Business Days deliver the Buy-Sell Deposit to the Buy-Sell Escrow Agent.

  • If the Member obligated to deliver the Buy-Sell Deposit fails to do so, the other Member may either (i) elect within five (5) Business Days to become the buyer under the Buy Option (in which case it shall promptly deliver the Buy-Sell Deposit as contemplated herein) or (ii) sxx the defaulting party for breach of contract (in which case it shall be entitled to an amount equal to the Buy-Sell Deposit as liquidated damages, not as a penalty).

  • Surplus or deficits made on either the administration of Do It Yourself Home Buy Option or on the development and subsequent sale of Low Cost Home Ownership properties are credited or charged to the Statement of Comprehensive Income at the time the property has been sold.

  • The closing of the transactions under the HGF Buy Option shall take place no later than 60 days after the expiration of the Response Period.

  • If the Selling Partners do not elect to pursue the Buy Option, then, in that event, they may pursue any other rights they may have in equity or at law.

  • If there are no Buying Members, the Buy Option shall terminate and at any time within one hundred twenty (120) days following the expiration of the Option Period, the Selling Member shall be entitled to consummate the sale of the Offered Interest to the Third Party Purchaser or one or more of its Affiliates upon terms no less favorable than are set forth in the Third Party Offer.

  • The Buy Option may be exercised by one or more of the Remaining Members by giving written notification (“Buy Notice”) to the Selling Member within sixty (60) days after receiving the Notice of Sale (the “Option Period”).

Buy Option. As defined in Section 8.5(b).
Buy Option means the right of the Buyer, exercised by written notice to the Developer, to cause the Developer to transfer and sell to the Buyer, and the Buyer to purchase from the Developer, pursuant to the Asset Purchase Agreement all of the assets of a Tranche of Stores identified by the Developer no later than 14 days after the exercise of the Buy Option.

Related to Buy Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Rollover Option has the meaning set forth in Section 2.4(a).

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.

  • Director Option means an Option granted pursuant to Section 6.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Aggregate Option Exercise Price means, as of any date of determination, the sum of the exercise prices payable upon exercise in full of all Vested Options held by all Optionholders immediately prior to the Effective Time, based on the Estimated Merger Consideration or the Final Adjusted Merger Consideration, as applicable.

  • Employee Option means an Option granted pursuant to Section 5.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Option means a stock option granted pursuant to the Plan.
