Buyer RSU definition

Buyer RSU means a restricted stock unit in respect of Buyer Common Stock issued by the Buyer pursuant to the Buyer Stock Plan.
Buyer RSU means each restricted stock unit granted under the Buyer Stock Plan or otherwise that is outstanding immediately prior to the Effective Time. “Buyer SEC Reports” has the meaning set forth in Section 4.6.

  • Within five (5) Business Days following the Effective Time, Buyer shall mail (or caused to be mailed) to each holder of record of a Company RSU outstanding immediately prior to the Effective Time a statement or other evidence showing the terms of the Buyer RSU into which such Company RSU was converted as of the Effective Time pursuant to this Section 2.07(a).

  • Effective as of the Effective Time, each Company RSU that is held by a Continuing Employee and is outstanding as of immediately prior to the Effective Time shall be assumed by Buyer as a Buyer RSU.
