Cancelled Option definition

Cancelled Option is defined in Section 1.9(a)(ii). "Cash Election Shares" is defined in Section 1.10(b). "Closing Date" is defined in Section 1.13. "Closing" is defined in Section 1.13. "Code" means the Internal Revenue Code of 1986, as amended. "Company" is defined in the first paragraph. "Company Benefit Plan" means each bonus, deferred compensation, incentive compensation, stock purchase, stock option, severance or termination pay, hospitalization, medical, life or other insurance, supplemental unemployment benefits, profit-sharing, pension or retirement plan, program, agreement or arrangement, and each other employee benefit plan, program, agreement or arrangement, sponsored, maintained or contributed to or required to be contributed to at any time since December 31, 1999 by Company or ERISA Affiliate, that together with Company would be deemed a "controlled group" within the meaning of Section 4001(a)(14) of ERISA, for the benefit of any employee, director or former employee or director of Company or any ERISA Affiliate including any such type of plan established, maintained or contributed to under the Laws of any foreign country. "Company Common Stock" is defined in the Recitals. "Company Contract" is defined in Section 3.9(a). "Company Director BOLI" is defined in Section 5.5(f). "Company Disclosure Schedule" is defined in the introductory paragraph of Article 3. "Company Financial Statements" is defined in Section 3.6(a). "Company 401(k) Plan" is defined in Section 5.5(d). "Company Officer BOLI" is defined in Section 5.5(f). "Company Option" is defined in Section 1.9(a). "Company Option Plan" means Company's 1996 Stock Based Incentive Plan. "Company Preferred Stock" is defined in Section 3.2(a). "Company Reports" is defined in Section 3.6(b). "Company Stockholders" shall mean the holders of the Company Common Stock. A-2

Examples of Cancelled Option in a sentence

  • Each Replacement Option will have a term equal to the lesser of (i) the remaining term of the Cancelled Option, or (ii) seven (7) years.

  • The vesting commencement date and vesting schedule for each Replacement Option will be the same as for the Cancelled Option which it replaces, subject to adjustment for any shares previously exercised.

Related to Cancelled Option

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Cancelled Shares has the meaning set forth in Section 3.1(a).

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Director Option means an Option granted pursuant to Section 6.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Company Option Plans means the Company 1994 Incentive Stock Plan, the Company 1995 Outside Director’s Stock Option Plan and the Company 2004 Incentive Stock Plan.

  • Company Warrant means a warrant to purchase shares of Company Capital Stock.
