CapEx Rollover Amount shall have the meaning given to such term in Section 8.4(b). Capital Expenditures shall mean, as applied to any Person for any period, the aggregate of all expenditures of (whether paid in cash or accrued as liabilities (including Capitalized Lease Obligations)) such Person and its Subsidiaries during that period that, in conformity with GAAP, are or are required to be included in property and equipment or, with respect to Rental Equipment, lease equipment reflected in the consolidated balance sheet of such Person; provided that Capital Expenditures shall not include the purchase price paid in connection with Permitted Acquisitions consummated in accordance with Section 7.17. Capital Lease, as applied to any Person, shall mean any lease of any property (whether real, personal or mixed) by that Person or any of its Subsidiaries as lessee which, in conformity with GAAP, is accounted for as a capital lease on the consolidated balance sheet of that Person.
CapEx Rollover Amount means, for any Fiscal Year, the amount of Capital Expenditures permitted to be made pursuant to Section 5.3 of the Senior Credit Agreement in excess of the amount specified in the table in such Section.

The amounts payable as contributions hereunder shall be determined as of the date on which the related payment or distribution is made by the applicable Funding Guarantor. The allocation among Contributing Guarantors of their obligations as set forth in this Section 7.2 shall not be construed in any way to limit the liability of any Contributing Guarantor hereunder. Each Guarantor is a third party beneficiary to the contribution agreement set forth in this Section 7.2.
