Cayman Security Documents the following Cayman Islands law governed security agreements:

Cayman Security Documents means the Cayman Debenture and each other Note Security Document governed by the laws of the Cayman Islands.

• With the exception of any security interests arising under the Cayman Security Documents in respect of non-U.S. situs assets, the DIP Order is effective to create in favor of the Administrative Agent, for the benefit of the Secured Parties, a legal, valid, binding and enforceable perfected security interest in the Collateral of the Debtors without the necessity of the execution of mortgages, security agreements, pledge agreements, financing statements or other agreements or documents.

• Repayment of the Obligations is secured by the Collateral, as described in the Loan Agreement, in that certain Intellectual Property Security Agreement and related Collateral Agreements and Notices of even date with the Loan Agreement, Deeds of Guaranty, Debentures, Hong Kong Security Documents, BVI Security Documents, Cayman Security Documents and such documents, agreements and instruments as were entered into in contemplation of the Loan Agreement.

• Repayment of the Obligations is secured by the Collateral, as described in the Loan Agreement, in that certain Intellectual Property Security Agreement and related Collateral Agreements and Notices of even date with the Loan Agreement, Deeds of Guaranty, Debentures, Hong Kong Security Documents, BVI Security Documents, Cayman Security Documents, PRC Security Documents, India Security Documents and such documents, agreements and instruments as were entered into in contemplation of the Loan Agreement.

More Definitions of Cayman Security Documents

Cayman Security Documents means any charge, pledge, mortgage, assignment or equivalent security agreement and any other documents governed by Cayman Islands law pursuant to which any Person grants a Lien upon any real or personal property as security for payment of the Obligations.

Cayman Security Documents means the following documents, each in form and substance reasonably satisfactory to the Agent: (a) that certain Cayman Islands-law debenture among the Parent and Agent, and (b) such other documents incidental to the foregoing documents designated as such by the Borrower and the Agent.

Cayman Security Documents means the Cayman Islands law governed share charges over the shares of Xxxxxxx Holdings Company Ltd. III and BriLog SPV.

Cayman Security Documents means the (i) Cayman Share Charges, which shall be on substantially the same form as the Cayman Security Documents securing the Prepetition Credit Agreement, except to the extent the Lien is granted by a non-Debtor Loan Party, in which case subject to such changes as are necessary to reflect the second-priority nature of the Liens securing the Obligations and (ii) all other Cayman Islands law-governed instruments and agreements securing the whole or any part of the Obligations or any Guarantee thereof.

Cayman Security Documents means, collectively, (a) the West Affum Corp. Fixed and Floating Charge, (b) the Intermediate Holdings Fixed and Floating Charge, (c) the Intermediate Holdings Equitable Share Charge and (d) the West Affum Corp. Account Charge.

Cayman Security Documents means the Loan Documents to be executed and delivered by Parent under or in connection with the Loan Agreement, including a general debenture (incorporating fixed and floating charges), a deed of guarantee and indemnity of the Obligations of Borrower, BORQS Hong Kong Limited, a share charge in relation to the shares Parent owns in BORQS Hong Kong Limited, an Intellectual Property Security Agreement, Parent corporate authorizations and related consents and certificates.

Cayman Security Documents means the Cayman Islands law governed share charges over the shares of Bristow Holdings Company Ltd. III and BriLog SPV.
