CBS Marks definition

CBS Marks means the following CBS registered trademarks, as shown in Exhibit 1 attached hereto: CBS(R) and the CBS "Eye" design.

Examples of CBS Marks in a sentence

  • It is agreed that after expiration or termination, any use of the Marks by Master Agent win result in irreparable injury to CBS and Master Agent hereby consents to the entry of an order enjoining Master Agent from using CBS Marks in any way.

  • Both parties acknowledge that the CBS Marks are trademarks exclusively owned or controlled by CBS Broadcasting Inc.

  • MarketWatch shall maintain CBS quality standards with respect to its use of the CBS Marks, and otherwise use the CBS Marks subject to any reasonable restrictions or requirements disclosed by CBS (including any requirements/restrictions delineated in the CBS License Guidelines).

  • Switchboard shall maintain CBS quality standards with respect to its use of the CBS Marks, and otherwise use the CBS Marks subject to any restrictions or requirements disclosed by CBS (including any requirements/restrictions delineated in the CBS License Guidelines), reasonably deemed necessary by CBS to protect CBS's tradename, Marks or reputation.

  • All materials bearing the CBS Marks shall be subject to CBS's prior written approval (subject to subparagraph 4.2(b) below).

  • Nothing in this Agreement grants Switchboard ownership or other rights in or to the CBS Marks, except in accordance with and to the extent of this license.

  • In connection with the foregoing, the Company shall remove, erase or destroy the CBS Marks from the Switchboard Site or any other use by the Company within a commercially reasonable time following the Closing, but in no event shall any such material remain in use by the Company more than three months after Closing, and, at Viacom's written request, the Company shall furnish Viacom with commercially acceptable evidence of such removal, erasure or destruction reasonably satisfactory to Viacom.

  • In any event, no later than three months after the Closing, the Company shall cease all uses of the CBS Marks in connection with the name and operation of the Switchboard Site and any other uses permitted under the License Agreement.

  • It is agreed that after expiration or termination, any use of the Marks by Master Agent will result in irreparable injury to CBS and Master Agent hereby consents to the entry of an order enjoining Master Agent from using CBS Marks in any way ARTICLE 12 - COMPLIANCE WITH LAWS Master Agent shall be solely responsible for compliance with all laws.

  • Licensed Marks means the Localized Game Marks and such other trademarks expressly authorized in writing by Shengqu to be used by the Licensees.

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Proprietary Marks shall have the meaning as set forth in Section 24.01.

  • Company Marks means the trademarks, trade names, service marks, logos, and/or service names of the Company.

  • Product Marks shall have the meaning set forth in Section 8.4.

  • Trademarks means any trademarks, service marks, trade dress, trade names, brand names, internet domain names, designs, logos, or corporate names (including, in each case, the goodwill associated therewith), whether registered or unregistered, and all registrations and applications for registration and renewal thereof.

  • Marks means any and all trademarks, service marks, trade names, taglines, company names, and logos, including unregistered and common-law rights in the foregoing, and rights under registrations of and applications to register the foregoing.

  • Licensed Trademark means those Trademarks set forth on Exhibit A attached hereto and such other Trademarks as may be designated by NovaDel in writing from time to time, and any registrations of the foregoing and pending applications relating thereto.

  • Product Trademarks means the Trademark(s) to be used by AbbVie or its Affiliates or its or their respective Sublicensees for the Development or Commercialization of Licensed Products in the Territory and any registrations thereof or any pending applications relating thereto in the Territory (excluding, in any event, any trademarks, service marks, names or logos that include any corporate name or logo of the Parties or their Affiliates).

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Trade Marks mean registered Trade Marks and Trade Xxxx applications and include any sign or logo, or combination of signs and/or logos capable of distinguishing the goods or services of one undertaking from those of another undertaking;

  • Transferred Trademarks means all Trademarks used in or held for use in, or arising from the Transferred Business and owned by Transferor or its Subsidiaries other than Trademarks bearing the “International Paper” or “IP” names or logos.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Retained Names and Marks shall have the meaning set forth in Section 5.3.

  • Domain Names means all Internet domain names and associated URL addresses in or to which any Grantor now or hereafter has any right, title or interest.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Insignia means Insignia Financial Group, Inc., a Delaware corporation.

  • Trademark means any trademark, trade name, service xxxx, service name, brand, domain name, trade dress, logo, slogan or other indicia of origin or ownership, including the goodwill and activities associated with each of the foregoing.

  • Logo means the SAP Partner logo as detailed in the SAP Partner Logo Usage Guidelines.

  • Service mark means a word, name, symbol, or device or any combination of a word, name, symbol, or device, used by a person to identify services and to distinguish the services of that person, including a unique service, from the services of others, and to indicate the source of the services, even if that source is unknown. Titles, character names used by a person, and other distinctive features of radio or television programs may be registered as service marks notwithstanding that they, or the programs, may advertise the goods of a sponsor.

  • Business IP means all Intellectual Property Rights and Intellectual Property necessary for, primarily used in or primarily held for use in the conduct of the Business as currently conducted by Seller.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Internet Domain Names means all rights, title and interests (and all related IP Ancillary Rights) arising under any Requirement of Law in or relating to Internet domain names.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Product Trademark means one or more trademarks or logos that are used for the Commercialization of a Product in the Field in the Territory.
