Celgene Patents definition

Celgene Patents means any Patents that (a) are Controlled by Celgene as of the Execution Date or during the Term; (b) Cover the Licensed Products; and (c) are contributed by Celgene, in Celgene’s sole discretion, for use in the Collaboration, as evidenced by written notice from Celgene to Vividion; for clarity excluding Celgene License Collaboration Patents.
Celgene Patents which means Patents Controlled by Celgene or any of its Affiliates (other than pursuant to a Celgene In-License) as of the Original Agreement Date or thereafter during the Term that Cover Celgene Know-How that are provided by Celgene to the Collaboration Program pursuant to Section 2.1(i);
Celgene Patents means CELGENE Background Patents, CELGENE Collaboration Patents and CELGENE Provided Compound Patents.

Examples of Celgene Patents in a sentence

  • Celgene shall keep Jounce informed as to material developments with respect to the Prosecution and Maintenance of Celgene Patents.

  • Schedule 4.8 contains (a) a complete and accurate list of all Jounce Licensed Collaboration Patents, and (b) a complete and accurate list of all Celgene Patents, if any, in each case as of the PD-1 Effective Date.

More Definitions of Celgene Patents

Celgene Patents means the patents listed in Attachment C of the Application; ‘Celgene Products’ means Revlimid® and Pomalyst®;

Celgene Patents which means Patents Controlled by Celgene or any of its Affiliates that claim the development, manufacture or commercialization of a Licensed Compound or Licensed Product as of the termination of this Agreement. Celgene Patents means all Patents owned or Controlled by Celgene (a) prior to the Effective Date or during the Option Term covering inventions that are necessary for the discovery, development, manufacture, use or sale of Compounds, Development Compounds and Back-Up Compounds directed to each Target for which Celgene does not exercise the Celgene Product Option, and (b) which are contributed by Celgene during the Option Term, in Celgene’s sole discretion, the collaboration hereunder, as evidenced by written notice from Celgene to Array and agreed on by the JRC. Notwithstanding Sections 1.7.1 and 1.7.2 above, the Celgene Technology shall not include Collaboration Patents or Collaboration Know-How.
