Each Warrant shall initially be issued in registered form only, and, if a physical certificate is issued, shall be in substantially the form of Exhibit A hereto, the provisions of which are incorporated herein and shall be signed by, or bear the facsimile signature of, the Chairman of the Board, President, Chief Executive Officer, Chief Financial Officer or other principal officer of the Company.
The members may elect a Chief Executive Member, as set forth in Exhibit 2, as may be amended.
Any act or omission of the Chief Executive Member, the effect of which may cause loss or damage to the Company or the members, if done in good faith to promote the best interests of the Company, will not subject the Chief Executive Member to any liability.
The Chief Executive Member will maintain a complete and accurate accounting of the Company's affairs at the Company's principal place of business.
If a Chief Executive Member is elected, then the powers listed in Section 4.3 shall be held by the Chief Executive Member.
