Class A Common Stock Amount definition

Class A Common Stock Amount means a number of shares of Class A Common Stock equal to the number of Tendered Units; provided, however, that, in the event that the Managing Member issues to all holders of Class A Common Stock as of a certain record date rights, options, warrants or convertible or exchangeable securities entitling the Managing Member’s stockholders to subscribe for or purchase Class A Common Stock, or any other securities or property (collectively, the “Rights”), with the record date for such Rights issuance falling within the period starting on the date of the Notice of Redemption and ending on the day immediately preceding the Specified Redemption Date, which Rights will not be distributed before the relevant Specified Redemption Date, then the Class A Common Stock Amount shall also include such Rights that a holder of that number of shares of Class A Common Stock would be entitled to receive, expressed, where relevant hereunder, as a number of shares of Class A Common Stock determined by the Managing Member.
Class A Common Stock Amount means, with respect to each share of Class A Common Stock, an amount equal to (a) the Unpaid Yield (as such term is defined in the Company’s certificate of incorporation, as amended prior to the date hereof) on such share as of the Closing Date, plus (b) the Unreturned Original Cost (as such term is defined in the Company’s certificate of incorporation, as amended prior to the date hereof) for such share as of the Closing Date.
Class A Common Stock Amount means that number of shares of Class A Common Stock equal to the product of (a) the number of Partnership Units offered for exchange by an exchanging Partner, multiplied by (b) the Exchange Factor as of the Valuation Date; provided, however, that if the General Partner or the Partnership issues to all holders of Class A Common Stock rights, options, warrants or convertible, exercisable or exchangeable securities entitling the Stockholders to subscribe for or purchase Class A Common Stock or any other securities or property (collectively, the “rights”), then the Class A Common Stock Amount shall also include the rights that a holder of that number of shares of Class A Common Stock would be entitled to receive, to the extent such rights have not expired as of the Valuation Date.
