Class C Notes Only. EACH HOLDER OF THIS NOTE (OR AN INTEREST OR PARTICIPATION IN THIS NOTE), WILL BE DEEMED TO REPRESENT AND WARRANT THAT IT IS NOT ACQUIRING THIS NOTE (OR INTEREST THEREIN) WITH THE ASSETS OF (i) AN “EMPLOYEE BENEFIT PLAN” (AS DEFINED IN SECTION 3(3) OF THE EMPLOYEE RETIREMENT INCOME SECURITY ACT OF 1974, AS AMENDED (“ERISA”)) THAT IS SUBJECT TO THE PROVISIONS OF TITLE I OF ERISA, (ii) A “PLAN” DESCRIBED IN SECTION 4975(e)(1) OF THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE “CODE”), (iii) AN ENTITY WHOSE UNDERLYING ASSETS INCLUDE PLAN ASSETS BY REASON OF AN INVESTMENT BY AN EMPLOYEE BENEFIT PLAN OR PLAN DESCRIBED IN (i) OR (ii) ABOVE IN SUCH ENTITY OR (iv) ANY OTHER PLAN THAT IS SUBJECT TO ANY FEDERAL, STATE, LOCAL OR NON-U.S. LAW OR REGULATION THAT IS SUBSTANTIALLY SIMILAR TO PART 4 OF TITLE I OF ERISA OR SECTION 4975 OF THE CODE (EACH, A “SIMILAR LAW”).]

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Class D Notes has the meaning assigned to such term in the Indenture.

  • Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.

  • Class A-4 Note means any of the 3.11% Asset Backed Notes, Class A‑4, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Series C Notes is defined in Section 1.

  • Class B Notes means the Class B 5.03% Asset-Backed Notes substantially in the form of Exhibit B to the Indenture.

  • Class C Note means any one of the Series 2024-1 6.48% Rental Car Asset Backed Notes, Class C, executed by ABRCF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit C-1, Exhibit C-2 or Exhibit C-3. Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.

  • B Notes means each of Note B-1 and Note B-2.

  • Class A-3 Note means any of the ___% Asset Backed Notes, Class A-3, issued under the Indenture.

  • Class A-2a Notes means the $359,000,000 Class A-2a 5.14% Asset Backed Notes issued by the Issuer, substantially in the form of Exhibit A to the Indenture.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class C Note Balance means, at any time, the Initial Class C Note Balance reduced by all payments of principal made prior to such time on the Class C Notes.

  • Class C Note Rate means 3.48% per annum.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Initial Class C Note Balance means $152,941,000.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Initial Class A-4 Note Balance means $75,000,000.
