Class K Notes definition

Class K Notes. The Class K Eleventh Priority Floating Rate Deferrable Interest Term Notes Due 2046, issued by the Issuer and the Co-Issuer pursuant to this Indenture.
Class K Notes means the U.S.$13,950,000 aggregate principal amount of Class K Floating Rate Deferrable Interest Notes due 2041.
Class K Notes. The Class K Twelfth Priority Fixed Rate Capitalized Interest Term Notes, due 2056, issued by the Issuer and the Co-Issuer pursuant to this Indenture.

Examples of Class K Notes in a sentence

  • The Co-Issuer shall not engage in any business or activity other than issuing and selling the Indenture Issued Notes (other than the Class K Notes) pursuant to this Indenture and such other activities incidental thereto or connected therewith.

  • The payment of interest and principal on this Note (a) as among the other Class A Notes, shall be paid in the manner and in the relative priority set forth in the Indenture, and (b) shall be senior to the payments of the principal of and interest on the Class B Notes, the Class C Notes, the Class D Notes, the Class E Notes, the Class F Notes, the Class G Notes, the Class H Notes, the Class J Notes, the Class K Notes, the Class L Notes and the Income Notes.

  • Holders of the Class B Notes, the Class C Notes, the Class D Notes, the Class E Notes, the Class F Notes, the Class G Notes, the Class H Notes, the Class J Notes and the Class K Notes shall have no right to institute proceedings for the enforcement of any such payment until such time as no Class of Secured Note that is senior to such Class of them remains Outstanding, which right shall be subject to the provisions of Section 5.8, and shall not be impaired without the consent of any such Holder.

  • Class K Notes, Class L Notes, Class M Notes and Class N Notes and the Issuer’s rights in and to the Collateral (with respect to the Class A Notes, Class B Notes, Class C Notes, Class D Notes and Class E Notes, the Subordinate Interests) shall be subordinate and junior to the Class A Notes, Class B Notes, Class C Notes, Class D Notes and Class E Notes to the extent and in the manner set forth in this Indenture including as set forth in Section 11.1(a) and hereinafter provided.

  • The Trustee shall not be accountable for the use or application by the Co-Issuers of the Rated Notes (other than the Class H Notes, Class J Notes or the Class K Notes), by the Issuer of the Class H Notes, Class J Notes or the Class K Notes or the proceeds thereof or any amounts paid to either of the Co-Issuers pursuant to the provisions hereof.

  • Holders of the Class B Notes, Class C Notes, Class D Notes, Class E Notes, Class F Notes, Class G Notes, Class H Notes, Class J Notes and Class K Notes shall have no right to institute proceedings for the enforcement of any payment until such time as no Class of Rated Note that is senior to such Class of them remains Outstanding, which right shall be subject to the provisions of Section 5.8, and shall not be impaired without the consent of any such Holder.

  • Upon receipt of evidence of the delivery or transfer of the Collateral Debt Securities to the Issuer, the Issuer shall pay or cause to be paid to the Depositor the Purchase Price and deliver the Class H Notes, the Class J Notes, the Class K Notes, the Class L Notes, the Class M Notes, the Class N Notes and the Preferred Shares in the manner agreed upon by the Depositor and the Issuer.

  • Amounts properly withheld under the Code or other applicable law by any Person from a payment to any Rated Noteholder of principal and/or interest shall be considered as having been paid by the Co-Issuers (in the case of Rated Notes other than the Class H Notes, Class J Notes and Class K Notes) or the Issuer (in the case of the Class H Notes, the Class J Notes or the Class K Notes) to such Rated Noteholder for all purposes of this Indenture.

  • Until so exchanged, the temporary Class A-1A Notes, Class A-1R Notes, Class A-2A Notes, Class A-2B Notes, Class B Notes, Class C Notes, Class D Notes, Class E Notes, Class F Notes, Class G Notes, Class H Notes, Class J Notes or Class K Notes shall in all respects be entitled to the same benefits under this Indenture as Certificated Notes.
