• The Class V Members holding a majority of the total outstanding Class V Shares in all Series may determine the size of the entire Board and may designate, remove or replace any Director, with or without cause, at any time.

• From and after the Change of Control Exchange Date, (i) the Units and Class V Shares subject to such Redemption shall be deemed to be transferred to PubCo on the Change of Control Exchange Date and (ii) such Member shall cease to have any rights with respect to the Units and Class V Shares subject to such Redemption (other than the right to receive Class A Shares pursuant to such Redemption).

• For the avoidance of doubt, the restrictions on Transfer contained in this Article IX shall not apply to the Transfer of any capital stock of PubCo; provided that no Class V Shares may be Transferred unless a corresponding number of Units are Transferred therewith in accordance with this Agreement.

• Nothing contained in this Section 3.6 shall limit the right of any Member to vote for or participate in any proposed Change of Control of PubCo with respect to such Member’s Class V Shares.
