The Client acknowledges and agrees that Regency Creative shall be entitled, during and after the Term, to use any Deliverables from the Services and the Client’s name, logo and Intellectual Property Rights (Client Branding) in its marketing materials on its website and on its own social media channels, for the purposes of promoting its work and its business.
Client and Sponsor acknowledge that: (a) any right or approval under this Agreement to use the other’s logo or other trademarks is non-exclusive, non-sublicensable, non- transferable, and revocable; (b) the other party will remain the sole and exclusive owner of all right, title, and interest in its marks and branding including, in Client’s case, Client Branding; and (c) any and all goodwill in the other party’s marks will inure solely to the benefit of the other party.
Sponsor will not use Client Branding, or any other branding that is substantially similar to Client Branding, at or in connection with any other farmers’ market sponsored by Sponsor and not operated by Client including, without limitation, any successor market at the Site operated directly by Sponsor or by another market operator.

The Client grants to UCSL a non-exclusive, royalty-free, transferable (with right to sub-license), worldwide licence during the period of this Agreement to use, copy, alter, display, sublicense, and create extracts of, or derivative works from, the Client Branding and Client Materials in any media formats including for the purpose of redistribution of the Service or for UCSL’s own marketing purposes.
