Upon expiration of the Collaborative Period, the parties’ research and development obligations pursuant to this Section 3.1 will expire.
Payments for any period which is less than three (3) months of the Collaborative Period will be prorated based on the actual number of days in such period.
The Steering Committee will meet no later than thirty days after the Effective Date and at least four times per year during the Collaborative Period using mutually agreed upon meeting locations and formats including tele-conferencing and video-conferencing.
Scientific and management authority and responsibility for activities conducted under the Research Plan and Product Development and Commercialization will be governed by the Steering Committee; provided, however, that after the Collaborative Period, the parties will agree in writing to appoint a new committee to manage the activities under this Agreement.
