COMMITTEE CHAIR RETAINER definition

COMMITTEE CHAIR RETAINER means the annual retainer fee to be paid to a Director for service as the Chair of a standing committee of the Board for a given Director Year.
COMMITTEE CHAIR RETAINER means the annual Award of Stock Units, established by the Board, to be paid to a Director for service as Chairman of a committee of the Board of Directors for a Director Year.
COMMITTEE CHAIR RETAINER means the annual cash retainer payable to Eligible Directors for service as the chair of committees of the Board during the calendar year. The amount of the Committee Chair Retainer is set forth on Exhibit A hereto, and may be amended from time to time by the Board or the Committee.

More Definitions of COMMITTEE CHAIR RETAINER

COMMITTEE CHAIR RETAINER means the portion of the annual retainer fee, if any, paid by the Company to a Participant for his or her services as chair of one of the Board's committees.
COMMITTEE CHAIR RETAINER means the annual retainer payable by the Company to a Non-employee Director pursuant to Section 7(b) hereof for service as the chairperson of a designated committee of the Board, as such amount may be fixed, and such committee may be designated, from time to time by resolution of the Board.

  • Committee Chair means the Chair of a Committee;

  • Retainer means the annual cash retainer and the additional cash retainer for committee chairs payable to a Director as established from time to time by the Board of Directors; provided, however, that the term “Retainer” shall not include that portion of the annual cash retainer as to which a right exists to make an election under, or for which a prior election is in effect under, the Terms and Conditions Regarding the Grant of Options in Lieu of Cash Directors Fees to Non-Employee Directors Under 2011 Equity Incentive Plan of Manpower Inc. (the “Option Terms”) or the Procedures Governing the Grant of Options to Non-Employee Directors Under the 1994 Executive Stock Option and Restricted Stock Plan of Manpower Inc. (the “Option Procedures”).

  • Annual Retainer for a particular Director means the retainer (including any additional amounts payable for serving as lead Director or on any committee of the Board), payable to that Director for serving as a Director for the relevant Remuneration Period, as determined by the Board;

  • Directors Fees means the annual fees paid by any Employer, including retainer fees and meetings fees, as compensation for serving on the board of directors.

  • Committee Member means a member of the Committee.

  • Retainer Fee means a fee charged by a retainer health care

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.

  • Compensation Committee means the Compensation Committee of the Board.

  • Board Chair means the chair of the Board;

  • Nomination and Remuneration Committee means a Committee of Board of Directors of the Company, constituted in accordance with the provisions of Section 178 of the Companies Act, 2013 and the Listing Agreement.

  • Governance Committee means the Governance Committee of the Board.

  • Audit Committee means the audit committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Director Fees means the total compensation (including annual retainer and meeting fees, if any) paid by the Corporation to a Director in a calendar year for service on the Board;

  • county executive committee member means the county executive committee member responsible for matters relating to land;

  • Chair means the chair of the Board;

  • Basic Compensation means Salary and Benefits.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Board Committee means those individual Directors who have been appointed by the Board of Directors with the powers and responsibilities specified in Article V and to which has been delegated any fiduciary responsibilities of the Board of Directors with respect to the Plan.

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • Committee means the Compensation Committee of the Board.

  • Meeting Fees means fees for attending a meeting of the Board or one of its Committees as set forth in Section 5.3 hereof.

  • Jobs retained means an estimate of those previously existing filled positions that are retained as a result of funding by the American Recovery and Reinvestment Act of 2009 (Recovery Act). This definition covers only prime contractor positions established in the United States and outlying areas (see definition in FAR 2.101). The number shall be expressed as ‘‘full-time equivalent’’ (FTE), calculated cumulatively as all hours worked divided by the total number of hours in a full-time schedule, as defined by the contractor. For instance, two full-time employees and one part-time employee working half days would be reported as 2.5 FTE in each calendar quarter.

  • Management Director means a Person selected in accordance with Article IV of this Agreement who shall have the powers and duties to manage the business and affairs of the Company and exercise its powers to the extent set forth in this Agreement, the Certificate and the Act. Each Management Director shall be a “manager” of the Company within the meaning of the Act.

  • Non-Management Director means any Person selected in accordance with Article IV of this Agreement who is not a Management Director.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.
