Company Books and Records definition

Company Books and Records means originals or true and complete copies thereof, including electronic copies (if available), of (a) all minute books, corporate charters and bylaws or comparable constitutive documents, records of share issuances and related corporate records of each member of the Company Group and (b) all books and records exclusively relating to (i) Company employees, (ii) the purchase of materials, supplies and services for the Company Business and (iii) dealings with customers of the Company Business.
Company Books and Records means all books, ledgers, files, reports, plans, records, manuals and other materials (in any form or medium) owned by the Companies.
Company Books and Records. The books and records (including computerized records) of the Company and the Company Subsidiaries and any other books and records which relate principally to the Company Business, are necessary to operate the Company Business, or are required by law to be retained by the Company or a Company Subsidiary, including, without limitation, all such books and records relating to the Company Employees, all files relating to any Action pertaining to the Company Liabilities, original corporate minute books, stock ledgers and certificates and corporate seals, and all licenses, leases, agreements and filings relating to the Company, the Company Subsidiaries or the Company Business (but not including the ABF Books and Records, provided that the Company shall have access to, and have the right to obtain duplicate copies of, the ABF Books and Records which pertain to the Company Business in accordance with the provisions of Article VI hereof).

More Definitions of Company Books and Records

Company Books and Records means the books of account, ledgers, order books, records and other documents maintained by the Company Group with respect to the operation of the Crimson CA Business; provided, that in no event shall Company Books and Records include any of the foregoing to the extent held or maintained by the Company Group or Crimson Gulf Holdings (or any of its Subsidiaries) with respect to the ownership or operation of the Crimson Gulf Business by the Company prior to the consummation of the Crimson Gulf Spin.

Notwithstanding the foregoing, “Company Books and Records” shall not include any Tax Returns or other information, documents or materials relating to Specified Taxes.

Company Books and Records means all books, records, Contracts, documents, instruments, ledgers, reports, plans and files related to the conduct of the businesses of the Company and its Subsidiaries, the WFOE, the Hong Kong Company or the Offshore Company, as applicable, in paper, electronic or other forms that are maintained by or on behalf of the Company or any of its Subsidiaries, the WFOE, the Hong Kong Company or the Offshore Company, as applicable.
