Examples of Company Group Parties in a sentence

  • Nothing herein will be deemed to constitute an admission of wrongdoing by you or any of the Company Group Parties.

  • You represent to each of the Company Group Parties that at no time prior to execution of this Agreement have you filed or caused or permitted the filing of any Claim which you may now have or have ever had against any of the Company Group Parties which is based in whole or in part on any matter referred to in Section 3(a) above; and you acknowledge that, subject to the Company’s performance under this Agreement, to the maximum extent permitted by law, you are prohibited from doing so.

  • You agree that you will not voluntarily (except in response to legal compulsion or as permitted in Section 10 above) assist any person in bringing or pursuing any proposed or pending litigation, arbitration, administrative claim or other formal proceeding against any of the Company Group Parties.

  • You further agree that if any person, organization, or other entity should bring a claim against any of the Company Group Parties involving any such matter, you will not accept any personal relief in such action.

Related to Company Group Parties

  • Company Group means the Company and its Subsidiaries.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Group Companies means the Company and its Subsidiaries.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Target Companies means the Company and its Subsidiaries.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Parent Parties means Parent and Merger Sub.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Target Group means the Target and its Subsidiaries.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.
