Company Incentive Plan definition

Company Incentive Plan shall have the meaning assigned to it in Section 1.7 hereof.

Company Incentive Plan means any equity or omnibus incentive plan adopted by the Company or assumed by the Company in connection with the Partnering Transaction or any other acquisition or partnering transaction involving the Company, or any other compensatory equity-based award or inducement award.

• Ownership and management of any oil and gas interests (of whatever kind and whether owned directly, through partnership interest or otherwise) that are owned as of the Effective Date; inherited in the future; received under any Company Incentive Plan or received under any incentive plan from a Xxxxxxxx Entity or any entity owned or controlled by Xxxxxxx X.

• Such new incentive stock option plan or amended Company Incentive Plan shall be assumed by Parent at the Effective Time.

• In furtherance of the foregoing, Parent agrees to assume at the Effective Time all the obligations of the Company under the Company Incentive Plan, including, without limitation, the outstanding Company Stock Options and the obligation to issue the number of shares of Parent Common Stock set forth on Schedule 1.7(a) upon the exercise of the Company Stock Options.

More Definitions of Company Incentive Plan

Company Incentive Plan means, collectively, the Company’s current equity incentive plan, as such may be amended from time to time, and any other equity incentive plan adopted by the Company from time to time.

Company Incentive Plan means the GlowUp Digital Inc. Equity Incentive Plan 2021, as adopted on February 12, 2021.

Company Incentive Plan means the Share Incentive Plan of the Company that was set up in 2019, and which shall include the Incentive Equity Plan Modifications adopted pursuant to this Agreement as of and following the Closing.

Company Incentive Plan means all employee share incentive plan or similar plan of the Company, or any arrangement pursuant to which any director, officer, employee or consultant of any Group Company may receive any equity incentive (whether in the form of options, restricted shares, restricted shares units or otherwise) from any Group Company.
