Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.
SEC Filings has the meaning set forth in Section 4.6.
Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.
SEC Documents shall have the meaning specified in Section 4.5.
SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).
Company Reports has the meaning set forth in Section 3.08(a).
Company SEC Reports shall have the meaning set forth in Section 3.8(a).
Parent Reports has the meaning set forth in Section 4.5(a).
Company Filings means all documents of the Company publicly filed under the profile of the Company on the System for Electronic Document Analysis Retrieval (SEDAR).
Company SEC Documents has the meaning set forth in Section 3.5(a).
Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.
Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.
Company Financial Information As defined in Section 2(a)(ii).
Company Financial Statements has the meaning set forth in Section 3.6(a).
Periodic Reports means the Company’s (i) Annual Reports on Form 10-K, (ii) any Quarterly Report to be filed on Form 10-Q and (iii) all other financial reports required to be filed by the Company with the Commission under applicable laws and regulations (including, without limitation, Regulation S-K) for so long as any amounts are outstanding under this Debenture or any Other Debenture; provided that all such Periodic Reports shall include, when filed, all information, financial statements, audit reports (when applicable) and other information required to be included in such Periodic Reports in compliance with all applicable laws and regulations.
Parent Financial Statements has the meaning set forth in Section 4.6(a).
Public Key means the key of a key pair used to verify a digital signature and listed in the Digital Signature Certificate;
Target Financial Statements has the meaning set forth in Section 3.4(a).
Company Audited Financial Statements has the meaning set forth in Section 3.11.
Disclosure Documents is defined in Section 5.3.
Public record or "public records" shall mean all documents, papers, letters, maps, books, photographs, films, sound recordings, magnetic or other tapes, electronic data-processing records, artifacts, or other documentary material, regardless of physical form or characteristics, made or received pursuant to law or ordinance in connection with the transaction of public business by any agency of North Carolina government or its subdivisions. Agency of North Carolina government or its subdivisions shall mean and include every public office, public officer or official (State or local, elected or appointed), institution, board, commission, bureau, council, department, authority or other unit of government of the State or of any county, unit, special district or other political subdivision of government.
Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.
Public Documents As defined in Section 4.02(a) of this Agreement.
Current Financials means, at any time, the consolidated Financial Statements of the Companies most recently delivered to Administrative Agent under Section 7.1(a) or 7.1(b), as the case may be.
Public Records Act means the Massachusetts Public Records Act, M.G.L. Chapter 66, and any successor thereto and M.G.L. Chapter 66A.
Company 10-K means the Company’s annual report on Form 10-K for the fiscal year ended December 31, 2010.
