Company Welfare Plan has the meaning given it in Section 3.1(m)(i).

"Interstate Welfare Plan" shall mean any Company Welfare Plan which does not provide benefits to employees or former employees of Seller or any subsidiary of Seller other than the Company. "Scotx Xxxfare Plan" shall mean any Company Welfare Plan other than an Interstate Welfare Plan.
