Compensation Securities definition

Compensation Securities means collectively, the Compensation Options, the Compensation Shares, the Compensation Warrants and the Compensation Warrant Shares;

Compensation Securities means, collectively, Agents Compensation Options, the Agents’ Commission Shares and the Agents’ Commission Warrants comprising the Compensation Units, and the Agents’ Commission Warrant Shares;

Compensation Securities means, collectively, the Corporate Finance Shares, Broker Special Warrants, the Broker Warrants, the Agents’ Commission Shares and the Agents’ Commission Warrants comprising the Compensation Units, and the Agents’ Commission Warrant Shares;

Examples of Compensation Securities in a sentence

• The representations, warranties, agreements and covenants contained herein shall survive the Closing Date of the Placement and delivery of the Placement Agent Securities and the Compensation Securities.

• All corporate proceedings and other legal matters incident to the authorization, form, execution, delivery and validity of each of this Agreement, the Placement Agent Securities and Compensation Securities, and all other legal matters relating to this Agreement and the transactions contemplated hereby with respect to the Placement Agent Securities shall be reasonably satisfactory in all material respects to the Placement Agent.

• The Placement Agent shall have received from outside U.S. counsel to the Company each such counsel’s written opinion with respect to the Placement Agent Securities and Compensation Securities, addressed to the Placement Agent and dated as of the Closing Date, in form and substance reasonably satisfactory to the Placement Agent.

• The Underwriters acknowledge that none of the Compensation Securities have been registered under the U.S. Securities Act or the securities laws of any state of the United States.

• The Underwriters agree that they will not engage in any Directed Selling Efforts (as defined in Schedule “A”) with respect to any Compensation Securities.

More Definitions of Compensation Securities

Compensation Securities means the Compensation Warrants, the Compensation Option Units, the Compensation Option Unit Shares, the Compensation Option Warrants and the Compensation Option Unit Warrant Shares;

Compensation Securities has the meaning given to that term in the sixth paragraph of this Agreement;

Compensation Securities has the meaning ascribed to such term above; “Concurrent Private Placement” has the meaning ascribed to such term above;
