Competing Entities definition

Competing Entities has the meaning stated in Section 9.1.F.
Competing Entities has the meaning set out in Section 7.1.
Competing Entities means Microsoft, the Star Office Division of Sun Microsystems, Adobe, Macromedia, Quark, Intervideo, Pinnacle Systems, Sonic Solutions, Autodesk, the Lotus Division of IBM, ULEAD, Sigmaflow or ACD Systems or any of their successors, and, on notice to the Executive, other entities that the Corporation may add to this definition, from time to time before the termination of the Executive's employment, acting in good faith after consultation with the Executive, whose business consists of developing or marketing word processing, spreadsheet, presentation, process management, flowcharting, digital imaging or graphics software, which the Corporation determines is in competition with its business.

Examples of Competing Entities in a sentence

  • Competing Entities must not agree to refuse to do business with a specific supplier, competitor or Customer.

  • Competing Entities must not enter into agreements to fix prices for, or restrict output of, any telecommunication or media services and/or equipment, regardless of the levels to which the Competing Entities agreed to.

  • This will require convening policymakers around increasing coordination and alignment on academic rigor between K-12 education and the post-secondary education system, including revising education governance, if needed.

  • Telecommunication Licensees and Regulated Persons are prohibited from entering into Agreements with entities (whether licensed or not) that are not Competing Entities, which, have as their object or effect, the prevention, restriction, or distortion of competition in, or in any part of, Singapore’s telecommunication or media industry.

  • The foregoing exclusion shall not prevent eXalt from (i) licensing to such Competing Entities the Software or providing similar Application Services to such Competing Entities, so long as the Software Enhancements are not included; (ii) from marketing and selling subscription agreements to any Competing Entity or (iii) from licensing the Software Enhancements to distributors.

  • During the term of my employment by the Company and thereafter for a period of 24 months, I will not solicit or encourage or cause others to solicit or encourage any employees of the Company's Entities to terminate their employment with the Company, and I will not assist any employees of the Company's Entities to engage with any Competing Entities.

  • In the event that an investment opportunity appears equally appropriate for the Fund and one or more Competing Entities, the acquisition or Loan will be made by the entity which first had uninvested funds available to make the acquisition or Mortgage Loan, or if the Fund and a Competing Entity have had available funds for equal periods, the entity which has the greatest amount of time weighted funds available for the acquisition of properties or the making of a Mortgage Loan.

  • During the term of my employment by the Company and thereafter for a period of 24 (twenty-four) months, I will not solicit or encourage or cause others to solicit or encourage any employees of the Company's Entities to terminate their employment with the Company, and I will not assist any employees of the Company's Entities to engage with any Competing Entities.

  • During the term of my service with the Company and thereafter for a period of 12 months, I will not solicit or encourage or cause others to solicit or encourage any employees of the Company’s Entities to terminate their employment with the Company's Entities, and I will not assist any employee of the Company’s Entities to engage with any Competing Entities.


More Definitions of Competing Entities

Competing Entities means the companies on the list to be provided to you by the Company by written notice to you, which notice may be given by email addressed to your Company email address, on or before January 24, 2018, however organized, and their successors and assigns; provided that the Company may from time to time during your employment, on 60 days’ written notice to you, which notice may be given by email addressed to your Company email address, in addition to the other means identified in Section 13(d), change the list of Competing Entities so long as (i) there are no more than 20 such Competing Entities at any time, and (ii) each entity listed among the Competing Entities will be deemed Competing Entities only to the extent each is engaged in a Competing Business.
Competing Entities mean the entities described in the written notice from the Company to you dated October 16, 2017.

Related to Competing Entities

  • Competing Entity means any entity or person that is engaged, directly or indirectly, in a Competitive Business.

  • Competing Enterprise means any person or any business organization of whatever form, engaged directly or indirectly within the Area in the Business of the Company.

  • Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold real estate assets, or (ii) indirectly hold real estate assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Holding Entities means the subsidiaries of Brookfield Renewable Energy L.P., from time to time, through which it indirectly holds all of the Partnership’s interests in the Operating Entities.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Competing Business means any business, individual, partnership, firm, corporation or other entity which wholly or in any significant part engages in any business competing with the Business in the Restricted Area. In no event will the Company or any of its affiliates be deemed a Competing Business.

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.

  • Operating Entity means an entity that operates and controls a portion of the bulk transmission system with the goal of ensuring reliable energy interchange between generators, loads, and other operating entities.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Competing Organization means any person or organization, including the Executive, engaged in, or about to become engaged in, research on or the acquisition, development, production, distribution, marketing or providing of a Competing Product.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.

  • Interconnected Entity means either the Interconnection Customer or the Interconnected Transmission Owner; Interconnected Entities shall mean both of them.

  • Competing Program has the meaning set forth in Section 8.5.

  • Competing Services means to provide, manage, supervise, or consult about (whether as an employee, owner, partner, stockholder, investor, joint venturer, lender, director, manager, officer, employee, consultant, independent contractor, representative or agent, or otherwise) any services that are similar in purpose or function to services you provided to the Company in the two year period preceding the termination of your employment, that might involve the use or disclosure of Confidential Information, or that would involve business opportunities related to Relevant Products.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Company Business means the business of the Company as presently conducted.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Core Business means any material line of business conducted by the Company and its Subsidiaries as of the Closing Date and any business directly related thereto.

  • Restricted companies means companies that boycott Israel.

  • Separate Business means each of the activities of the Licensee connected
