Competing Event definition

Competing Event means a golf tournament, which the Board of Directors may from time to time classify as competing against or detracting from MENA Tour objectives.
Competing Event means any event by which (Licensee or any Licensee Affiliate shall develop island inspired Licensed Products for any entity other than Licensor, whether by acquisition, internal development or otherwise. Licensee agrees that if there is a dispute over whether an event is a Competing Event, the dispute will be resolved subject to Licensor’s decision in Licensor’s sole discretion.

Competing Event means any event by which Licensee shall become a competitor in the Normal Channels of Distribution with an "island lifestyle" product or category of products included in the Licensed Products, whether by acquisition, internal development or otherwise.

Further, notwithstanding anything in this Section 5, the Executive shall not be considered to be in violation of this Section 5 solely by reason of owning, directly or indirectly, any stock or other securities of a Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in any such Competitive Enterprise) if the Executive’s interest does not exceed 5% of the outstanding capital stock of such Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in such Competitive Enterprise).

  • Company Triggering Event shall be deemed to have occurred if: (a) the Company shall have made a Company Board Adverse Recommendation Change; (b) the Company Board or any committee thereof shall have publicly approved, endorsed or recommended any Acquisition Proposal; or (c) the Company shall have entered into any letter of intent or similar document relating to any Acquisition Proposal in violation of the terms of the Agreement.

  • Terminating Event means any of the following events:

  • Competing Enterprise means any person or any business organization of whatever form, engaged directly or indirectly within the Area in the Business of the Company.
