Con1dential Information. All information disclosed by a party (the “Disclos- ing Party”) to the other party (the “Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. In particular any infor- mation related to the business, affairs, products, developments, trade secrets, know-how, personnel, customers and suppliers of either party should be regarded as confidential. For all Confidential Information received during the Term of this Agreement, the Receiving Party will use the same degree of care that it uses to protect the confidentiality of its own similar Confidential Information, but not less than reasonable care. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure, to the extent permitted by law.
Con1dential Information means any information or material which is proprietary to Reform Wellness Inc, whether or not owned or developed by Reform Wellness, which is not generally known other than by Reform Wellness, and which Client may obtain through any direct or indirect contact with Reform Wellness. PROTECTION OF CONFIDENTIAL INFORMATION. Client understands and acknowledges that the Con1dential Information has been developed or obtained by Reform Wellness by the investment of signi1cant time, eIort and expense, and that the Con1dential Information is a valuable, special and unique asset of Reform Wellness which provides Reform Wellness with a signi1cant competitive advantage, and needs to be protected from improper disclosure. In consideration for the disclosure of the Con1dential Information, Client agrees to hold in con1dence and to not disclose the Con1dential Information to any person or entity without the prior written consent of Reform Wellness. In addition, Client agrees that:
Con1dential Information means information and physical material not generally known or available outside Discloser and information and physical material entrusted to Discloser in con1dence by third-parties. Con1dential Information includes, without limitation: technical data, trade secrets, know-how, research, product or service ideas or plans, software codes and designs, algorithms, developments, inventions, patent applications, laboratory notebooks, processes, formulas, techniques, mask works, engineering designs and drawings, hardware con1guration information, agreements with third parties, lists of and information relating to employees and consultants of the Discloser (including, but not limited to, names, contact information, positions, compensation, and expertise), lists of and information relating to suppliers, customers, price lists, pricing methodologies, cost data, market share data, marketing plans, licenses, contract information, business plans, 1nancial forecasts, historical 1nancial data, budgets or other business information disclosed by Discloser (whether by oral, written, graphic or machine-readable format), any notes, analyses, compilations, studies, interpretations, memoranda or other documents prepared by Recipient that contain or are based on Con1dential Information and any materials identi1ed in writing as Con1dential Information.

Examples of Con1dential Information in a sentence

  • Client acknowledges and agrees that the Con1dential Information is provided on an AS IS basis.

  • The term "Con1dential Information" means any information or material which is proprietary to Reform Wellness Inc, whether or not owned or developed by Reform Wellness, which is not generally known other than by Reform Wellness, and which Client may obtain through any direct or indirect contact with Reform Wellness.

  • In consideration for the disclosure of the Con1dential Information, Client agrees to hold in con1dence and to not disclose the Con1dential Information to any person or entity without the prior written consent of Reform Wellness.

  • Client understands and acknowledges that the Con1dential Information has been developed or obtained by Reform Wellness by the investment of signi1cant time, eIort and expense, and that the Con1dential Information is a valuable, special and unique asset of Reform Wellness which provides Reform Wellness with a signi1cant competitive advantage, and needs to be protected from improper disclosure.

  • If it appears that Client has disclosed (or has threatened to disclose) Con1dential Information in violation of this Agreement, Reform Wellness shall be entitled to an injunction to restrain Client from disclosing, in whole or in part, the Con1dential Information.

  • Each party agrees that its obligations undertaken herein as Client with respect to Con1dential Information disclosed to it, as well as any provisions of this Agreement, that by their terms, require performance after the termination or expiration of the Agreement or have application to events that may occur after such termination or expiration, shall survive and continue after any termination or expiration of this Agreement.

  • Any actions taken by Client in response to the disclosure of the Con1dential Information shall be solely at the risk of Client.

  • Nothing in this Agreement is to be construed to preclude Client from using, marketing, licensing, and/or selling any designs, work product, processes, methodologies software, data processing or other information or material (collectively, “Material”) that are similar or related to those of Reform Wellness, provided that the same are independently developed without reference to Con1dential Information disclosed by the Reform Wellness under this Agreement.

Related to Con1dential Information

  • State Confidential Information means any and all State Records not subject to disclosure under CORA. State Confidential Information shall include, but is not limited to, PII, PHI, PCI, Tax Information, CJI, and State personnel records not subject to disclosure under CORA. State Confidential Information shall not include information or data concerning individuals that is not deemed confidential but nevertheless belongs to the State, which has been communicated, furnished, or disclosed by the State to Contractor which (i) is subject to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its disclosure to Contractor; (iii) is or subsequently becomes publicly available without breach of any obligation owed by Contractor to the State; (iv) is disclosed to Contractor, without confidentiality obligations, by a third party who has the right to disclose such information; or (v) was independently developed without reliance on any State Confidential Information.

  • Confidential Information Breach means, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Proprietary Information shall have the same meaning as Confidential Information.
