A failure by the Conflicts Committee to respond to the notice referred to in Section 4.3(a) within three Business Days after receipt thereof by delivering notice to KK pursuant to this Section 4.3(b) shall be deemed to be a rejection of the offer delivered pursuant to Section 4.3(a).
