Continuing Provisions definition

Continuing Provisions shall have the meaning ascribed to such term in Section 7.1(b).
Continuing Provisions means Clause 1 (Interpretation), Clause 18 (Confidentiality), Clause 19 (Announcements), Clause 20 (Purchaser Guarantee and Indemnity), Clause 21 (Assignment), Clause 23 (Entire Agreement), Clause 24 (Severance and Validity), Clause 25 (Variations), Clause 26 (Remedies and Waivers), Clause 28 (Third Party Rights), Clause 30 (Costs and Expenses), Clause 32 (Notices), Clause 34 (Governing Law and Jurisdiction), Clause 36 (Agent for Service of Process) and Clause 29 (Payments), all of which shall continue to apply after the termination of this Agreement;

Continuing Provisions means the following provisions: a provision of this Agreement which is described in the Agreement as continuing to be in effect following the termination or expiration of the Agreement; any provisions relating to: the giving of a warranty by the Developer; the granting of an indemnity by the Developer; the granting of a release by the Developer; the use of Confidential Information; Intellectual Property Rights; or any provision which, having regard to the nature of the provision or the subject matter of the provision, it is appropriate for the provision to continue to be in effect following the termination or expiration of the Agreement; Control means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of the Developer, whether through ownership of voting securities, by contract or otherwise; Defect means any work, material, act or omission which has not been undertaken by the Developer in accordance with this Agreement; Defects Liability Period is the period commencing on the date of the issue of the Acceptance of Works Certificate and concluding on the date of the issue of the Certificate of Completion; Developer means the entity described as such in the Parties Section of this Agreement and in Item 2 of Schedule 1; Developer’s Personnel means officers, employees, agents, Developer’s contractor, officers, employees and other persons engaged by the Developer in connection with the undertaking of the Works or Services (as is relevant to the Developer);
