Critical Transition Milestone definition

Critical Transition Milestone means any milestone in the Transition Plan designated as a “critical” milestone.

Examples of Critical Transition Milestone in a sentence

  • If Supplier fails to achieve any Critical Transition Milestone by the completion date specified for such milestone in the Transition Plan, subject to Supplier’s Right to Cure, Chordiant may elect to terminate the Line of Business in which the failure has occurred as of the date specified by Chordiant in its notice of termination without payment of any Termination Fee.

  • For each Critical Transition Milestone, the Transition Plan shall set forth: (i) the transition activities that must be completed by Provider or Customer, as applicable, in order for the Critical Transition Milestone to be deemed to have been achieved (the “Critical Transition Activities”); (ii) the applicable Acceptance Criteria; and (iii) the date by which the Critical Transition Milestone must be achieved.

  • A Critical Transition Milestone will not be accepted until such time as each Critical Transition Activity included within the Critical Transition Milestone has satisfied all applicable Acceptance Criteria.

  • Supplier may earn back Transition Deliverable Credits with respect to its failure to meet an interim Critical Transition Milestone for a Transition Stream, provided that Supplier meets the associated final Critical Transition Milestone for that Transition Stream on or before the date specified in Schedule H.1, in which case Supplier will be entitled to the return of all Transition Deliverable Credits paid in connection with its prior failure to meet said interim Critical Transition Milestone.

  • If Supplier fails to achieve any Transition Milestone for which a Transition Credit is due by the date specified for such Critical Transition Milestone in the Transition Plan and such delay exceeds the grace period of two weeks, then Supplier shall apply the Transition Credit against the Fees.

  • For each Critical Transition Milestone, the Transition Plan shall set forth: (a) the transition activities that must be completed by Supplier in order for the Critical Transition Milestone to be deemed to have been achieved (the “Critical Transition Activities”); (2) the applicable acceptance criteria; and (3) the date by which the Critical Transition Milestone must be achieved.

  • If Supplier fails to achieve any Critical Transition Milestone by the completion date specified for such milestone in the Transition Plan, Michaels may, subject to allowing a grace period of two weeks, elect to terminate the applicable Statement of Work as of the date specified by Michaels in its notice of termination without payment of any Termination Fee.

  • Project Milestone means the project milestone set forth in Schedule-J;

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Service Levels means the service levels to be met by the Services as referenced in the Contract Letter and set out in the Specification Schedule.

  • Substantial Completion Date means the date on which Substantial Completion occurs.
