Cumulative Performance Period definition

Cumulative Performance Period means, as applicable (i) the period from the Grant Date to December 31, 2022, and (ii) the period from the Grant Date to December 31, 2023.
Cumulative Performance Period shall comprise the period commencing on January 1, [●] and ending on December 31, [●]. Under this Agreement, the following three Performance Periods shall apply to the Performance Goal based on Cash Flow: • The First Performance Period; • The Second Performance Period; and • The Third Performance Period.

  • Upon the occurrence of a Change in Control, prior to the last day of the Cumulative Performance Period, the Performance-Based Restricted Stock Units shall become vested and payable on (and be paid no later than 30 days after) the Change in Control, at the Target Level set forth on Exhibit A, provided you have remained in continuous employment with PRGX from the Grant Date until the time of the Change in Control.
