Ivalua will use commercially reasonable efforts to adapt, re-configure or re-program the affected Software Service, as applicable, to correct a Defect reported by Eligible Customer Personnel, provided that if Ivalua determines in good faith that the Defect is the result of errors or misstatements in the Documentation, and not a failure in features or functions of the affected Software Service, Ivalua may resolve the Defect solely by amending Documentation.
Subject to Customer’s payment of Maintenance and Support Services Fees as set forth in the applicable Order, Customer may designate Eligible Customer Personnel, and shall do so as of the Effective Date, or promptly thereafter, so Ivalua can deliver Maintenance and Support Services as set forth herein.
Customer agrees that is shall abide by the terms of the AUP and the Customer shall undertake that its Authorized Users or any third party within the reasonable control of the Customer, in any event including Customer Personnel, shall abide by the terms of the AUP.
Ivalua shall have no obligation to provide Technical Support, by any means, to any entity or individual other than Eligible Customer Personnel.
Customer may change its Eligible Customer Personnel as reasonably necessary, by written notice (email sufficient) to the Ivalua business contact email address and/or phone number(s) as provided for herein or on the CSE.
