Delay Fee definition

Delay Fee shall have the meaning assigned to it in Section 3(a) hereof.
Delay Fee means an amount equal to a percentage of the Manufacture Fee due Manufacturer from Alnylam for a delayed Batch, as specified in Section 4.10(b).
Delay Fee means a daily charge per share of Registrable Securities, calculated at the rate of 6% per year (based on a 365 day year) on the aggregate Market Value, as of the first date of any period for which the Delay Fee is applied, multiplied by the number of Registrable Securities that each Investor holds on the relevant date (subject to equitable adjustment in the case of securities other than Common Stock).

Examples of Delay Fee in a sentence

  • Landlord's sole remedies for breach of these obligations shall be limited to specific performance and/or payment of the Delay Fee, and Tenant waives all defenses, except defense of performance, in any action brought by Landlord to enforce its rights under this Section.

Delay Fee means, for any date, a daily charge equal to .000333333% of the product of (i) the number of unregistered Buyer Shares held by the Seller on such date and (2) the closing sales price of Buyer Stock on that date;
Delay Fee means the fees described as follows. If Tenant breaches an obligation under this Lease for which a Delay Fee is expressly made a remedy, Landlord may give a Notice of Default to Tenant, which Notice of Default shall specify the Minor Default in reasonable detail, and shall provide that failure to remedy the specified default within ten (10) Business Days of such Notice of Default shall result in a Delay Fee. If Tenant fails to remedy the specified default within ten (10) Business Days of such notice, a Delay Fee in the amount of $250 (except in the case of utilities under Section 4.6 of this Lease, for which it shall accrue at $500 per day), not to exceed $25,000.00 in the aggregate for any one specified default, shall be paid by Tenant for each day the specified default remains uncured beginning on the date of the Notice of Default. The amount of the Delay Fee and the aggregate cap shall each increase by 20% on the tenth (10th) anniversary of the Commencement Date and on each tenth (10th) anniversary thereafter. Demand for a Delay Fee by Landlord, and payment thereof by Tenant, shall not preclude or delay the Landlord from bringing an action for specific performance for the same Minor Default.
Delay Fee shall have the meaning ascribed to that term in ss.7.1(g) hereof.
Delay Fee means an amount determined as follows: (i) if Tenant has failed to fully vacate the Vacated Premises in conformity with this Lease by the One Time Surrender Date, an amount equal to ten percent (10%) of the monthly Rent then due hereunder; (ii) if Tenant has failed to fully vacate the Vacated Premises in conformity with this Lease by the one month anniversary of the One Time Surrender Date, an amount equal to twenty percent (20%) of the monthly Rent then due hereunder; and (iii) if Tenant has failed to fully vacate the Vacated Premises in conformity with this Lease by the second month anniversary or any subsequent monthly anniversary of the One Time Surrender Date, an amount equal to fifty percent (50%) of the monthly Rent then due hereunder as of the applicable monthly anniversary.
