Designated Firm definition

Designated Firm has the meaning set forth in Section 12.9.
Designated Firm means such firm of independent accountants of national standing or such other boutique specialty firm with an active practice area focused on post-mergers and acquisition purchase price dispute resolution to which Buyer and the Sellers Representative mutually agree in writing.
Designated Firm means a Canadian law firm designated by Seller and reasonably acceptable to Buyer; provided that, there shall be no more than two Designated Firms.

Examples of Designated Firm in a sentence

  • All fees and expenses of the Designated Firm shall be borne solely by the Company.

  • Any determination by the Designated Firm shall be binding upon the Company and the Executive.

  • As a result of the uncertainty in the application of Section 4999 of the Code at the time of the initial determination by the Designated Firm hereunder as to whether a Gross-Up Payment should be made, it is possible that Gross-Up Payments that were not made by the Company should have been made (the “Underpayment”), consistent with the calculations required to be made hereunder.
