Duke Energy Stock Plans definition

Duke Energy Stock Plans means, collectively, the Duke Energy Corporation 2006 Long-Term Incentive Plan, the Duke Energy Corporation 1998 Long-Term Incentive Plan, the Duke Energy Stock Incentive Option, the 1989 Westcoast Energy Inc. Long-Term Incentive Share Option Plan, the Cinergy Corp. 1996 Long-Term Incentive Compensation Plan, the Cinergy Corp. Stock Option Plan, the Panhandle Eastern Corporation 1994 Long Term Incentive Plan and any other stock option or stock incentive compensation plan or arrangement maintained before the Distribution Date for employees, officers, non-employee directors or other independent contractors of Duke Energy or its Affiliates, as amended (exclusive of the Spectra Energy Stock Plan and the 2006 Westcoast Energy, Inc. Long-Term Incentive Plan).
Duke Energy Stock Plans means Duke Energy's existing benefit or stock purchase plans which provide for the issuance, grant or sale of Duke Energy Common Shares or options to purchase Duke Energy Common Shares.

  • Effective as of the Distribution Date, Spectra Energy shall have adopted the Spectra Energy 2007 Long-Term Incentive Plan (the “Spectra Energy Stock Plan”) which shall permit the issuance of long-term incentive awards that have material terms and conditions substantially similar to those long-term incentive awards issued under the relevant Duke Energy Stock Plans that are to be substituted with Spectra Energy long-term incentive awards in connection with the Distribution.

  • Company Equity Plans means any stock option, stock incentive, stock purchase or other equity compensation plan, sub-plan or non-plan agreement sponsored or maintained by the Company or any Subsidiary or controlled Affiliate of the Company or to which any such entity is a party.

  • Option Plans has the meaning assigned thereto in Section 2.5(b).

  • Company Option Plan means, collectively, each stock option plan, program or arrangement of the Company.

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Parent 401(k) Plan has the meaning set forth in Section 6.6(e).

  • Equity Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity based awards granted by the Company to the Executive.

  • Parent Equity Plans means all employee and director equity incentive plans of Parent and agreements for equity awards in respect of Parent Common Stock granted under the inducement grant exception.
