Early Development Term shall have the meaning set forth in Section 3.2.4.

Examples of Early Development Term in a sentence

  • The Early Development Term (i.e. the overall term for all Early Development Programs under the Agreement) will commence at the start of the first Early Development Program under the Agreement and will terminate upon the termination of the last to terminate Early Development Program Term (the “Early Development Term”), unless earlier terminated in accordance with the other provisions of this Agreement.

  • Thereafter, during the Biologic Research and Early Development Term, the JSC shall approve a Biologic Development Plan proposed by OncoMed for each new Biologic Collaboration Compound that OncoMed elects to Develop after the Effective Date, and during the Small Molecule Research Term the JSC shall approve a Small Molecule Development Plan proposed by BSP for each new Small Molecule Collaboration Compound that BSP elects to Develop after the Effective Date.

  • During the Biologic Research and Early Development Term, as OncoMed identifies Biologic Collaboration Compounds, OncoMed shall inform the JSC of the identity of such compound and the Biologic Collaboration Compound Class to which such compound belongs.

  • For clarity, the GSK CP Term for a given GSK CP includes the GSK CP Early Development Term and the GSK CP Late Development Term for such GSK CP.

  • Within 60 days following the end of each Calendar Quarter during the Early Development Term, Advaxis shall invoice Amgen for the amount due pursuant to Section 4.1(b) (subject to this clause (ii) of Section 4.1(a)) and, if requested by Amgen, shall provide to Amgen reasonable documentation evidencing such incurred costs.

  • If the JRC does not believe that such GSK Collaboration Compound [***], then Wave will use Commercially Reasonable Efforts during the remainder of the GSK CP Early Development Term to conduct additional Development activities to identify a development candidate for such GSK CP, and thereafter present a report to the JRC as and to the extent applicable in this Section 4.2.1.4.

  • Subject to the terms and conditions of this Agreement, during the Term, Amgen hereby grants to Advaxis a non-exclusive, worldwide, royalty-free license, with the right to grant sublicenses as provided in Section 5.3, under the Amgen Technology and Amgen’s rights under the Joint Invention Patents, solely to perform Advaxis’ obligations under the Early Development Plan during the Early Development Term.

  • Following the Early Development Term, Amgen shall bear all costs associated with development activities relating to Products.

  • Notwithstanding the foregoing, Advaxis shall consult with, and consider in good faith any input provided by, Amgen regarding any material plans or decisions regarding the development of Products during the Early Development Term.

  • The overall term for all Early Development Programs under the Agreement will commence at the start of the first Early Development Program Term and will terminate upon the last day of the last to terminate Early Development Program Term (such period, the “Early Development Term”), except that the Early Development Term shall not be deemed in effect at any time during which there is no Early Development Program Term then in effect.

  • Agreement Term has the meaning set forth in Section 11.1.
