Early Tax Redemption Date definition

Early Tax Redemption Date has the meaning set forth in Section 4.2(b).
Early Tax Redemption Date has the meaning set forth in Section 4.01(c). “Early Tax Redemption Price” has the meaning set forth in Section 4.01(c). “Equity Offering” means a sale of Qualified Capital Stock of the Company or a Holding Company of the Company pursuant to which the Net Cash Proceeds are contributed to the Company in the form of a subscription for, or a capital contribution in respect of, Qualified Capital Stock of the Company. “ERISA” means the United States Employee Retirement Income Security Act of 1974, as amended. “Euroclear” means Euroclear Bank S.A./N.V., as operator of the Euroclear System, N.V. “Euro MTF” means the Euro MTF, the alternative market of the Luxembourg Stock Exchange. “Event of Default” has the meaning set forth in Section 6.01. “Exchange Act” means the U.S. Securities Exchange Act of 1934, as amended and in effect from time to time.
Early Tax Redemption Date means, in relation to the redemption of a Tranche of Notes pursuant to Condition 6.3, the date stipulated as the date for early redemption of that Tranche of Notes in the notice of redemption given by the Issuer in terms of Condition 6.3;

Examples of Early Tax Redemption Date in a sentence

  • Installments of interest due on or prior to the Early Redemption Date or the Early Tax Redemption Date shall be payable to the Noteholders registered as such on the relevant Record Dates.

  • If any Note called for redemption shall not be so paid upon surrender thereof for redemption, the principal shall, until paid, bear interest from the Early General Redemption Date or the Early Tax Redemption Date, as applicable, at the Note Rate.

  • If any Note called for redemption shall not be so paid upon surrender thereof for redemption, the principal shall, until paid, bear interest from the Early Tax Redemption Date at the Note Rate.

Related to Early Tax Redemption Date

  • Tax Redemption Date means, when used with respect to any Note to be redeemed pursuant to a Tax Redemption, the date fixed for such Tax Redemption pursuant to this Indenture.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Make-Whole Redemption Amount means the sum of:

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Early Redemption Amount (k) means the "Early Redemption Amount (k)" as calculated or, respectively specified by the Calculation Agent pursuant to § 4 (2) of the Special Conditions.

  • Redemption Payment Date As defined in Section 13.1.

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Early Redemption Amount (Tax) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Postponed Early Redemption Date means the tenth Business Day following the Early Redemption Date (if any);
