For the avoidance of doubt, a Merger Transaction or the announcement thereof shall not give either party the right to designate an Early Valuation Date for any Transaction and/or to accelerate or preclude an election by Counterparty of Physical Settlement for any Settlement of any Transaction, unless such Merger Transaction or the announcement thereof is also an ISDA Event.
If an Early Valuation Date for a Transaction occurs on a date that is not during an Unwind Period for such Transaction, then such Early Valuation Date shall be a Valuation Date for a Physical Settlement of such Transaction, and the number of Settlement Shares for such Settlement shall be the Number of Shares on such Early Valuation Date; provided that Dealer may in its sole discretion permit Counterparty to elect Cash Settlement or Net Share Settlement in respect of such Transaction.
Early Termination by Issuer The Issuer may redeem all (but not some) of the outstanding Certificates early by giving Certificateholders at least 45 Business Days prior notice to that effect and designating an Early Valuation Date and paying on the related Early Redemption Date an amount equal to the Redemption Amount calculated by the Calculation Agent in accordance with the section headed "Redemption Amount in respect of the Valuation Date".
