Eligible Content Participant definition

Eligible Content Participant means (i) a Founder or its Affiliate that in either case is a Content Participant; or (ii) a Content Participant under a Final Content Participant Agreement that has sales of at least five million US dollars (US$5,000,000) in the immediately preceding year from distribution of Digital Entertainment Content in a form protected by the AACS Technology pursuant to an Approved License, and has reported to AACS LA that it has met such threshold, provided, however, that while eligibility under (ii) shall be judged taking into account the sales of the entity that signed the relevant Content Participant Agreement and all or any of its Affiliates, a Third Party Beneficiary Claim under (ii) may only be brought by the entity that signed the relevant Final Content Participant Agreement or any one of its Affiliates that has been identified to AACS LA in a notice pursuant to the equivalent of Section 11.11 hereof that it will exercise rights under such Final Content Participant Agreement.
Eligible Content Participant means a Content Participant that (a) has not asserted or maintained, and whose Affiliates (as defined in said Content Participant’s Content Participant Agreement) have not asserted or maintained, at any time after September 1, 1999 (including prior to the effective date of its Content Participant Agreement), any Content Participant Non-Assertion Claim against Licensor, Founder, Key Generator, any Fellow Adopter, Content Participant, System Operator or any Affiliate of the foregoing and (b) is deemed an “Eligible Content Participant” under its Content Participant Agreement.
Eligible Content Participant means (i) a Founder or its Affiliate that in either case is a Content Participant in compliance with all of the material terms and conditions of its Content Participant Agreement; (ii) a Contributor listed in Exhibit E attached hereto that is a Content Participant in compliance with all of the material terms and conditions of its Content Participant Agreement; or (iii) any other Content Participant that falls within the definition of “Eligible Content Participant” under a Final Adopter Agreement or Final Content Participant Agreement. For the avoidance of doubt, former Content Participants whose Content Participant Agreement is no longer in effect shall not be deemed Eligible Content Participants after the expiration or termination of their Content Participant Agreement.

Examples of Eligible Content Participant in a sentence

  • Notwithstanding the preceding sentence, Adopter agrees that an Eligible Content Participant shall be entitled to seek injunctive relief to prevent further or threatened breaches of this Agreement if Adopter has engaged in a pattern of behavior involving the repeated release of non-compliant products or components for which Adopter received notice of the breach, whether or not Adopter corrected such repeated breaches following such notice.

  • Notwithstanding the preceding sentence, Xxxxxxx agrees that an Eligible Content Participant shall be entitled to seek injunctive relief to prevent further or threatened breaches of this Agreement if Adopter has engaged in a pattern of behavior involving the repeated release of non-compliant products or components for which Adopter received notice of the breach, whether or not Adopter corrected such repeated breaches following such notice.

  • None of Licensor, Adopter nor any Initiating Content Participant shall object to any request, within the Election Period, by an Eligible Content Participant, Eligible System Operator or Related Fellow Adopter to so participate in the Revocation Arbitration.

  • AACS LA or any Eligible Content Participant or Eligible Fellow Adopter may acquire products distributed hereunder on the open market for examination.

  • For so long as Content Participant is an Eligible Content Participant, it shall have the right to seek expiration of certain AACS Keys pursuant to the terms of Section 6.

  • Nothing in this Section 9.2 shall grant a license or permission for AACS LA or any Licensor, Eligible Content Participant or Eligible Fellow Adopter, or expert to take any actions or make use of information resulting from such examination or evaluation for any purpose other than for verifying and enforcing compliance with the terms of this Agreement.

  • Nothing in this Section 9.2 shall grant a license or permission for AACS LA, or any Licensor, Eligible Content Participant, Eligible Fellow Adopter or expert to decompile or disassemble Adopter’s software object code.

  • AACS LA or any Eligible Content Participant may acquire products distributed under any Adopter Agreement on the open market for examination.

  • Adopter, Licensor, or any Initiating Content Participant that is joined by at least two (2) other Eligible Content Participants (or by one (1) other Eligible Content Participant if there are then fewer than three (3) Eligible Content Participants) may initiate an arbitration proceeding to resolve the Revocation Dispute (a “Revocation Arbitration”), in accordance with the procedures set out in Sections 3 and 4 of this Procedural Appendix, within thirty (30) days of Licensor’s Notice of Revocation Dispute.

  • Nothing in this Section 10.11 shall grant a license or permission for AACS LA or any Licensor, Eligible Content Participant or Eligible Adopter, or expert to take any actions or make use of information resulting from such examination or evaluation for any purpose other than for verifying and enforcing, compliance with the terms of this Agreement.


More Definitions of Eligible Content Participant

Eligible Content Participant means (i) a Founder or its Affiliate that in either case is a Content Participant in compliance with all of the material terms and conditions of its Content Participant Agreement, or (ii) a Contributor listed in Exhibit D attached hereto that is a Content Participant in compliance with all of the material terms and conditions of its Content Participant Agreement, or (iii) any other Content Participant that falls within the definition of “Eligible Content Participant” under a Final Content Participant Agreement. For the avoidance of doubt, a former Content Participant whose Content Participant Agreement is no longer in effect shall not be deemed Eligible Content Participants after the expiration or termination of their Content Participant Agreement.
Eligible Content Participant shall have the meaning set forth in Section 3.1.

Related to Eligible Content Participant

  • Section 162(m) Participant means any key Employee designated by the Administrator as a key Employee whose compensation for the fiscal year in which the key Employee is so designated or a future fiscal year may be subject to the limit on deductible compensation imposed by Section 162(m) of the Code.

  • Market Participant means an entity that, for its own account, produces, transmits, sells, and/or purchases for its own consumption or resale capacity, energy, energy derivatives and ancillary services in the wholesale power markets. Market Participants include transmission service customers, power exchanges, Transmission Owners, load serving entities, loads, holders of energy derivatives, generators and other power suppliers and their designated agents.

  • Eligible Contract Participant means an “eligible contract participant” as defined in the CEA and regulations thereunder.

  • Eligible Participant means an employee, officer, consultant or director of the Company or any Affiliate.

  • Eligible Customer means:

  • Designated Participant means such employees or officers of the Company or a related entity of the Company as the Board may designate from time to time as eligible to participate in the Plan;

  • Current Participant means a person who participated in the Plan during the Class Period and had an Active Account on May 11, 2018.

  • Eligible casual employee means a casual employee employed during a period of at least 12 months, either:

  • Covered Participant means a Participant who is a “covered employee” as defined in Section 162(m)(3) of the Code, and the regulations promulgated thereunder, and any individual the Committee determines should be treated as such a covered employee.

  • Non-Highly Compensated Participant means any Participant who is neither a Highly Compensated Employee nor a Family Member.

  • Participant has the meaning specified in Section 10.06(d).

  • Inactive Participant means each Participant (other than a Retired Participant, Deceased Participant or Disabled Participant) who is not in active service as an Outside Director and is not actively employed by a Participating Company.

  • Active Participant means, with respect to any day or date, a Participant who is in Service on such day or date; provided, that a Participant shall cease to be an Active Participant (i) immediately upon a determination by the Committee that the Participant has ceased to be an Employee or Independent Contractor, or (ii) at the end of the Plan Year that the Committee determines the Participant no longer meets the eligibility requirements of the Plan.

  • Eligible Compensation means (i) for eligible exempt employees, such employee’s base salary at the time the Bonus or Spot Bonus is determined (prorated for time in an eligible position), and (ii) for eligible non-exempt and non-union hourly employees, such employees’ eligible wages for the applicable year as determined by the Company to be required by law.

  • Eligible Customers means non-residential electric and/or gas Customers of Ameren Illinois. Each application has different eligibility requirements for Delivery Service rates (DS# for electric, GDS# for gas) to be eligible for that program. Refer to the specific program applications to determine if your business is eligible for that application. The Ameren Illinois incentive payments are awarded only to Eligible Customers for equipment that is owned by them and installed in the Ameren Illinois service area at the location that corresponds with the Ameren Illinois account number listed in the Application. All Eligible Customers are ultimately responsible for compliance with these Terms and Conditions.

  • Small employer carrier means any carrier that offers health benefit plans covering eligible employees of one or more small employers in this state.

  • Eligible Crisis or Emergency means an event that has caused, or is likely to imminently cause, a major adverse economic and/or social impact to the Recipient, associated with a natural or man-made crisis or disaster.

  • FTR Participant means any Market Participant that provides or is required to provide Collateral in order to participate in PJM’s FTR auctions.

  • Eligible Citizen means a Person qualified to own interests in real property in jurisdictions in which any Group Member does business or proposes to do business from time to time, and whose status as a Limited Partner or Assignee does not or would not subject such Group Member to a significant risk of cancellation or forfeiture of any of its properties or any interest therein.

  • Potential Takedown Participant shall have the meaning set forth in Section 3.2.5(b).

  • Economic Load Response Participant means a Member or Special Member that qualifies under Operating Agreement, Schedule 1, section 1.5A, and the parallel provisions of Tariff, Attachment K-Appendix, section 1.5A, to participate in the PJM Interchange Energy Market and/or Ancillary Services markets through reductions in demand.

  • Eligible Unit means, as of the time any Liquidating Gain is available to be allocated to an LTIP Unit or a Performance Unit, an LTIP Unit or Performance Unit to the extent, since the date of issuance of such LTIP Unit or Performance Unit, such Liquidating Gain when aggregated with other Liquidating Gains realized since the date of issuance of such LTIP Unit or Performance Unit exceeds Liquidating Losses realized since the date of issuance of such LTIP Unit or Performance Unit, as applicable.

  • Elective Deferral means the portion of Compensation which is deferred by a Participant under Section 4.1.
