Engagement Fees definition

Engagement Fees shall have the meaning assigned to such term in Section 2.05(b).
Engagement Fees means the fees payable by the Issuer pursuant to an engagement letter entered into between the Issuer and StormHarbour Securities LLP on or about 29 July 2010.
Engagement Fees means the hourly rates and other charges for Services (including any call-out fees and any Return/Cancellation Fees) and conditions set out in the proposal, Plan, Plan Schedule, Quote, contract or arrangement entered into by Us and You or in these Conditions, and includes any monies payable to Us on a quantum merit basis for any work it has done which may be varied, by Us from time to time in its absolute discretion without notice to You;

Examples of Engagement Fees in a sentence

  • You will be responsible to us for the payment of all such Engagement Fees.

  • Brokerage and/or Engagement Fees are fully earned when you instruct us to bind cover for your policy.

  • There will be no return or cancellation of Engagement Fees and/or brokerage once you have instructed us to bind cover for your policy notwithstanding that the policy is later varied, terminated or otherwise cancelled and we are entitled to retain or recover from you all Engagement Fees and/or brokerage (or its equivalent) in respect of the full policy period.

  • In exchange for the payment of the Engagement Fees, and subject to the terms of the Agreement, Client shall receive the corresponding Engagements set forth in the applicable Purchase Form.

  • If Client does not pay the Engagement Fees prior to the applicable due dates, Provider may suspend the corresponding Engagement benefits as set forth in Section 2.5 above.

  • If a Purchase Form is terminated by the Client under this Section 2.3 due to an uncured material breach of the Purchase Form by Provider, then with regards to the remainder of the then-current term, Client will not owe the pro rata Engagement Fees corresponding to that remainder of the term, and Provider will provide a pro rata refund of any prepaid fees corresponding to the remainder of that term.

  • For work beyond the length of the sessions covered by the Engagement Fees specified in clauses 2.1 - 2.4 above, overtime payments will be in 15-minute units (or part thereof) at the following rates: London Regions Principal £8.55 £7.40 Sub Principal £7.95 £7.00 2.6 Tutti Night Work £7.40 £6.40 A supplementary payment of £28.95 will be made for playing between midnight -0800.

Related to Engagement Fees

  • Management Fees means, with respect to each Project for any period, an amount equal to the greater of (i) actual management fees payable with respect thereto and (ii) three percent (3%) per annum on the aggregate base rent and percentage rent due and payable under leases at such Project.

  • Recruitment fees means fees of any type, including charges, costs, assessments, or other financial obligations, that are associated with the recruiting process, regardless of the time, manner, or location of imposition or collection of the fee.

  • Upfront Fees means, with respect to any Receivable, the sum of any fees charged by Holdings or the Receivables Account Bank, as the case may be, to a Receivables Obligor in connection with the disbursement of a loan, as set forth in the Receivables Agreement related to such Receivable, which are deducted from the initial amount disbursed to such Receivables Obligor, including the “Origination Fee” set forth on the applicable Receivable Agreement.

  • Agent Fees has the meaning assigned to such term in Section 2.10(c).

  • Development Fees means fees imposed to offset capital costs of providing public infrastructure, public safety or other public services to a development and authorized pursuant to A.R.S. Section 9-463.05, A.R.S. Section 11-1102 or A.R.S. Title 48 regardless of the jurisdiction to which the fees are paid.

  • Management Fee shall have the meaning set forth in Section 10(a).

  • Commitment Fees has the meaning set forth in Section 2.11(a).

  • Advisory Fees means financial advisory fees, closing fees, transaction fees, monitoring fees, oversight fees and similar fees, expenses and indemnities payable by the Loan Parties pursuant to the Advisory Agreement, but in the case of any such fees not to exceed the amounts payable in respect thereof under the Advisory Agreement as in effect on the Closing Date.

  • Property Management Fee means the fee payable to the Manager for its day-to-day management of the Property pursuant to the Management Agreement.

  • Consulting means the application of scientific principles and procedures in counseling and human development to provide assistance in understanding and solving current or potential problems that the client may have in relation to a third party, individuals, groups, and organizations.

  • Origination Fees means the fee payable to the Advisor pursuant to Section 8.02 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Loan by the Company.

  • Agent's Fees shall have the meaning assigned to such term in Section 3.5(c).

  • Professional Fee Amount means the aggregate amount of Professional Fee Claims and other unpaid fees and expenses that Professionals estimate they have incurred or will incur in rendering services to the Debtors prior to and as of the Confirmation Date, which estimates Professionals shall deliver to the Debtors as set forth in Article II.B of the Plan.

  • Arrangement Fee has the meaning specified in Section 2.05(a).
