Equity Award Value means (A) with respect to Stock Options and Stock Appreciation Rights (each as defined in the Incentive Plan), the grant date fair value, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard), and (B) with respect to Awards (as defined in the Incentive Plan) other than Stock Options and Stock Appreciation Rights (and excluding cash Awards

Equity Award Value means (x) with respect to Stock Options and Stock Appreciation Rights (each as defined in the Plan), the grant date fair value, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard), and (y) with respect to Awards (as defined in the Plan) other than Stock Options and Stock Appreciation Rights (and excluding cash Awards under the Plan), the product of (1) the number of shares or units subject to such Award, times (2) the “fair market value” of a share of the REIT’s common stock on the date of grant as determined under the Plan. For purposes of this Agreement, “Annual Grant” shall mean the grant of an equity-based Award that constitutes a component of a given year’s annual compensation package and shall not include any isolated, one-off or non-recurring grant outside of the Executive’s annual compensation package, such as (but not limited to) the Restricted Stock Award granted pursuant to Section 2(b)(iii) hereof, an initial hiring Award, a retention Award, an Award that relates to multi-year or other long-term performance, an outperformance Award or other similar award, in any event, as determined by the Company in its sole discretion.

Equity Award Value means the sum of (i) the Restricted Stock Value and (ii) the Option Award Value.

Examples of Equity Award Value in a sentence

• For purposes of Section 8(d)(ii)(C), in the event that the Employee’s termination (or with respect to Section 9, a Change in Control) occurs prior to the Executive receiving three (3) Annual Grants, then the amount in Section 8(d)(ii)(C) shall be determined based on the Equity Award Value of Annual Grants (if any) made to the Employee during the Employment Term prior to the Employee’s termination (or with respect to Section 9, the Change in Control).

• For purposes of Section 8(d)(ii)(C), in the event that the Employee’s termination occurs prior Executive receiving two (2) Annual Grants, then the amount in Section 8(d)(ii)(C) shall be determined based on the Equity Award Value of Annual Grants made to the Employee during the Employment Term prior to the Employee’s termination (if any).

• For the avoidance of doubt, Equity Award Value shall not include the Time Vesting LTIP Units or the Performance Vesting LTIP Units granted pursuant to Section 2(b)(iii) above or the value of any equity award granted to the Executive pursuant to a multi-year performance program, long-term performance program, initial hiring award, retention award or similar non-recurring award.

• For purposes of this Agreement, “Equity Award Adjustment Amount” means an amount (positive or negative) equal to the product of (a) the difference of (i) the Seller Closing Equity Award Value minus (ii) the Seller Pre-Signing Equity Award Value, multiplied by (b) sixty percent (60%).

• The number of shares of Restricted Stock subject to this Agreement, together with the number of shares of restricted stock of CSWI subject to the restricted share award granted to the Holder by CSWI in connection with the Share Distribution and this Agreement (the “CSWI Restricted Share Award”) shall, if necessary, be reduced, in the aggregate, by such number of shares, if any, as is necessary to cause the Equity Award Value to not exceed the Total Payout Amount.

More Definitions of Equity Award Value

Equity Award Value means (i) with respect to incentive stock options, non-qualified stock options, or stock appreciation rights or any other equity-based awards based upon something less than the full value of a share of Common Stock, the fair value of the award on the date on which the award was granted, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard); or (ii) with respect to any equity-based awards other than those referenced in Section 1(h)(viii)(5)(i) above, the product of (1) the number of shares of Common Stock, or units convertible into full shares of Common Stock, subject to the award, times (2) the Fair Market Value of a share of Common Stock on the date the award is granted, as determined under the 2011 Incentive Compensation Plan (or any other incentive plan maintained by the Company pursuant to which the award is granted).

Equity Award Value means (x) with respect to options and stock appreciation rights, the grant date fair value, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard), and (y) with respect to equity-based awards other than options and stock appreciation rights, the product of (1) the number of shares or units subject to such award, times (2) the “fair market value” of a share of Farmland’s common stock on the date of grant as determined under the plan under which such award was granted.

Equity Award Value shall have the meaning assigned to that term in the Employment Agreement.

Equity Award Value means (A) with respect to Options and Stock Appreciation Rights (each as defined in the Incentive Plan), the grant date fair value, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard), and (B) with respect to Awards (as defined in the Incentive Plan) other than Stock Options and Stock Appreciation Rights (and excluding cash Awards under the Incentive Plan), the product of (1) the number of shares or units subject to such Award, times (2) the “fair market value” of a share of the REIT’s common stock on the date of grant as determined under the Incentive Plan. For purposes of this Agreement, “Annual Grant” shall mean (1) the Time Vesting Restricted Stock Award, and (2) the grant of an equity-based Award that constitutes a component of a given year’s annual compensation package and shall not include any isolated, one-off or non-recurring grant outside of the Executive’s annual compensation package, such as (but not limited to) the Performance Vesting Restricted Stock Award granted pursuant to Section 2(b)(iii) above, an initial hiring Award, a retention Award, an Award that relates to multi-year or other long-term performance, an outperformance Award or other similar award, in any event, as determined by the Company in its sole discretion. For the avoidance of doubt, for purposes of this Section 4(a)(ii), Annual Bonus shall include any portion of the Executive’s Annual Bonus received in the form of equity rather than cash.

Equity Award Value means (A) with respect to stock options and stock appreciation rights, the grant date fair value, as computed in accordance with FASB Accounting Standards Codification Topic 718, Compensation — Stock Compensation (or any successor accounting standard), of a regular annual equity award granted to the Executive for a given year, and (B) with respect to regular annual awards other than stock options and stock appreciation rights (including, without limitation, restricted stock and Operating Partnership units), the product of (x) the number of shares or units subject to such award, times (y) the “fair market value” of a share of the REIT’s common stock on the date of grant as determined under the Incentive Plan. For the avoidance of doubt, Equity Award Value shall not include the Time Vesting LTIP Units or the Performance Vesting LTIP Units granted pursuant to Section 2(b)(iii) above or the value of any equity award granted to the Executive pursuant to a multi-year performance program, long-term performance program, initial hiring award, retention award or similar non-recurring award.

Equity Award Value means (a) with respect to restricted shares or restricted share units, the value of the unvested shares representing such award determined using the closing price of the Company’s shares on the Termination Date, and (b) with respect to unvested share options, the value of the underlying shares that may be acquired upon exercise of the options determined using the closing price of the Company’s shares on the Termination Date, less the aggregate exercise price for such shares.

Equity Award Value means $945,000 in calendar year 2020. In each subsequent calendar year, it means 105% of the Equity Award Value in the immediately preceding calendar year.
