Equity Fund Account definition

Equity Fund Account means an account for a Section 16(a) Participant maintained under a benefit plan of the Company, that contains a Company "equity security" within the meaning of the term "equity security of such issuer" in Rule 16a-1 under the Exchange Act.
Equity Fund Account means the hypothetical investment account described in Section 5.3, which is deemed invested in the Equity Fund (or such other fund determined by the Committee) under the Johnson Controls Savings and Investment (401(k)) Plan.

Examples of Equity Fund Account in a sentence

  • When a Participant has elected that an Incentive Deferral be credited to his Equity Fund Account, the portion of his cash award as to which such deferral election is in effect shall be credited to his Equity Fund Account as of the date such award would have otherwise been paid to the Participant in cash.

  • In addition, the Company shall pay to each Participant a lump sum amount in cash within 30 days of the Change of Control all amounts accumulated in such Participant's Interest, Share Unit and Equity Fund Account under the Plan.

  • The Share Unit Account is considered a "buy only" account under the Plan, and no amounts may be transferred out of the Share Unit Account into the Interest Account or Equity Fund Account.

  • Upon termination of a Participant's employment with the Company or subsidiary for any reason, the Participant, or his/her Beneficiary in the event of his/her death, shall be entitled to receive the amounts accumulated in such Participant's Interest Account, Share Unit Account and/or Equity Fund Account, as the case may be, in ten approximately equal annual installment payments as hereinafter provided.

  • The Participant's rights to the second Interest, Share Unit or Equity Fund Account shall be the same as his rights to the initial Interest, Share Unit or Equity Fund Account.

  • Notwithstanding the provisions in Item 6.B.(7) and (8), if the amount remaining in a Participant's Interest Account, Share Unit or Equity Fund Account at any time is less than $50,000, or in the event of a financial emergency occurring in the personal affairs of the Participant, or his Beneficiary in case of his death, during the payout period, the Committee may elect to accelerate the payout thereafter of the Participant's Interest, Share Unit or Equity Fund Account.

  • The amount accumulated in such Participant's Interest Account, Share Unit Account and/or Equity Fund Account, as the case may be, shall be distributed as hereinafter provided.

  • The Participant's rights to the second Interest, Share Unit of Equity Fund Account shall be the same as his rights to the initial Interest, Share Unit or Equity Fund Account.

  • In the event of a payout due to financial emergency, a second Interest, Share Unit and Equity Fund Account shall be established for the participant and any wards made to the Participant thereafter shall be credited to such second Interest, Share Unit or Equity Fund Account.

  • Subject to this limitation, a Participant may also irrevocably elect, once each year and effective on the next date on which conversions are made under Item 6.B.2., to convert all or part of an Interest Account or an Equity Fund Account to the Participant's Share Unit Account.

  • Buydown Fund Account A separate account or accounts created and maintained pursuant to Section 3.02 (a) with the corporate trust department of the Trustee or another financial institution approved by the Master Servicer, (b) within FDIC insured accounts (or other accounts with comparable insurance coverage acceptable to the Rating Agencies) created, maintained and monitored by a Servicer or (c) in a separate non-trust account without FDIC or other insurance in an Eligible Institution. Such account or accounts may be non-interest bearing or may bear interest. In the event that a Buydown Fund Account is established pursuant to clause (b) of the preceding sentence, amounts held in such Buydown Fund Account shall not exceed the level of deposit insurance coverage on such account; accordingly, more than one Buydown Fund Account may be established.

  • Excess Reserve Fund Account The separate Eligible Account created and maintained by the Trustee pursuant to Sections 3.07(b) and 3.07(c) in the name of the Trustee for the benefit of the Regular Certificateholders and designated "Deutsche Bank, National Trust Company in trust for registered Holders of Morgan Stanley ABS Capital I Inc. Trust 2006-HE3, Mortgage Pass-Through Xxxxxfxxxxxx, Series 2006-HE3." Funds in the Excess Reserve Fund Account shall be held in trust for the Regular Certificateholders for the uses and purposes set forth in this Agreement. Amounts on deposit in the Excess Reserve Fund Account shall not be invested.

  • Pre-Funding Account means the account designated as the Pre-Funding Account in, and which is established and maintained pursuant to Section 7.07.

  • Investment Account As defined in Section 3.12(a).

  • Principal Funding Account Investment Proceeds shall have the meaning specified in subsection 4.03(a)(ii).

  • Pre-Funded Amount With respect to any date of determination, the amount on deposit in the Pre-Funding Account.

  • Excess Funds Subaccount is defined in Section 8.02(a) of the Indenture.

  • Loan Fund means the special fund created by the RECIPIENT for the repayment of the principal of and interest on the loan. “Loan Security” means the mechanism by which the RECIPIENT pledges to repay the loan.

  • Rollover Account means the account established hereunder to which amounts transferred from a qualified plan or individual retirement account in accordance with Section 4.6 are allocated.

  • Investment Fund has the same meaning as in National Instrument 81-106 Investment Fund Continuous Disclosure;

  • Tax Account shall have the meaning set forth in Section 8.6 hereof.

  • Excess Funding Account shall have the meaning specified in Section 4.02.

  • Investment Funds means all monies and financial resources available for investment by the Authority, other than proceeds of bonds issued by the Authority.

  • Principal Funding Account Balance means, with respect to any date of determination during the Controlled Accumulation Period, the principal amount, if any, on deposit in the Principal Funding Account on such date of determination.

  • Profit Sharing Account means any one of the accounts so designated and provided for in Section 6.01.

  • Member Account means the regular account and the variable account.

  • Prefunding Account The separate Eligible Account created and maintained by the Trustee pursuant to Section 3.06(g) in the name of the Trustee for the benefit of the Certificateholders and designated “U.S. Bank National Association, in trust for registered holders of Home Equity Asset Trust 2004-2, Home Equity Pass-Through Certificates, Series 2004-2. Funds in the Prefunding Account shall be held in trust for the Certificateholders for the uses and purposes set forth in this Agreement and shall not be a part of any REMIC created hereunder; provided, however, that any investment income earned from Permitted Investments made with funds in the Prefunding Account shall be for the account of the Depositor.

  • Principal Funding Account shall have the meaning specified in subsection 4.03(a)(i).

  • Cash Reserve Account means an Eligible Deposit Account established in the name of the Trust and designated as the Cash Reserve Account for the purposes hereof, the balance of which shall be subject to the control of the Trust for the benefit of the Trust and the Seller and applied in accordance with the terms hereof, which account shall bear interest and shall initially be account number [*], maintained at [*];

  • Required Reserve Fund Amount With respect to any Distribution Date on which the Net Excess Spread is less than 0.25%, the amount, if any by which (a) the product of 1.00% and the Pool Balance for such date exceeds (b) the amount on deposit in the Basis Risk Reserve Fund immediately prior to such date. With respect to any Distribution Date on which the Net Excess Spread is equal to or greater than 0.25%, the amount, if any, by which (i) $1,000 exceeds (ii) the amount on deposit in the Basis Risk Reserve Fund immediately prior to such date. Provided, however, that on any Distribution Date on which the Class Principal Amount of each Class of LIBOR Certificates has been reduced to zero, the Required Reserve Fund Amount shall be zero.

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.

  • Cash Account has the meaning set forth in Section 2.1(a)(ii).

  • Liquidity Account Investments means Deposit Securities or any other security or investment owned by the Fund that is rated not less than A3 by Moody’s, A- by Standard & Poor’s, A- by Fitch or an equivalent rating by any other NRSRO (or any such rating’s future equivalent) or if not rated, determined by the Adviser to be of comparable quality.

  • Reserve Account Funding Date means the Distribution Date which occurs not later than the earliest of (a) the Distribution Date with respect to the Monthly Period that commences not later than three months prior to the Distribution Date with respect to the first Monthly Period in the Controlled Accumulation Period, (b) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the May 2023 Monthly Period or any Monthly Period thereafter is less than 2%, the Distribution Date with respect to such Monthly Period, (c) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the November 2023 Monthly Period or any Monthly Period thereafter is less than 3%, the Distribution Date with respect to such Monthly Period and (d) such earlier Distribution Date as the Transferor may determine by written notice to the Trustee and the Servicer. For this purpose, the “Excess Spread Percentage” for any Monthly Period shall be equal to the Series Adjusted Portfolio Yield for such Monthly Period minus the Base Rate for such Monthly Period.

  • Reserve Account Excess Amount means, with respect to any Payment Date, an amount equal to the excess, if any, of (a) the amount of cash or other immediately available funds in the Reserve Account (excluding any net investment earnings) on that Payment Date, after giving effect to all deposits to and withdrawals from the Reserve Account on such Payment Date, over (b) the Specified Reserve Account Balance with respect to such Payment Date.

  • Investment Accounts means the Collateral Account, Securities Accounts, Commodities Accounts and Deposit Accounts.
