Escrow Investment definition

Escrow Investment means (1) Treasury Securities, (2) investments in time deposit accounts, certificates of deposit and money market deposits maturing no later than the Escrow End Date in each case, entitled to U.S. Federal deposit insurance for the full amount thereof or issued by a bank or trust company (including the Escrow Agent or an affiliate of the Escrow Agent) which is organized under the laws of the United States of America or any State thereof having capital, surplus and undivided profits aggregating in excess of $500.0 million and (3) repurchase obligations maturing no later than the Escrow End Date entered into with a nationally recognized broker-dealer, with respect to which the purchase securities are Obligations issued or guaranteed by the United States government or any agency thereof, which repurchase Obligations shall be entered into pursuant to written agreements.

Examples of Escrow Investment in a sentence

  • If the contractor elects to use the Escrow Investment option, please complete attached Escrow Agreement.

  • Escrow Agent may invest and reinvest the Escrow Proceeds in any Eligible Escrow Investment (as defined on Exhibit B hereto) as the Depositor from time to time directs by Written Direction, which shall be credited to the Escrow Securities Account.

  • In no event shall the Escrow Agent be liable for any investment loss, fees, taxes or other charges arising from or related to any such investment, reinvestment or liquidation of an Escrow Investment (including liquidation thereof prior to their maturity) unless such loss, fee, taxes or other charge results from Escrowed Funds being invested in investments other than in accordance with the written instructions of the Company or the Escrow Agent’s own bad faith, gross negligence or willful misconduct.

  • Market values, exchange rates and other valuation information (including without limitation, market value, current value or notional value) of any Eligible Escrow Investment furnished in any report or statement may be obtained from third party sources and is furnished for the exclusive use of the Parties.

  • For the avoidance of doubt, to the extent that the value of any Escrow Investment declines, the Company shall not have any obligation to deposit additional funds in the Escrow Account or to ensure that at all times the aggregate amount of the Escrowed Funds equals or exceeds the then applicable Special Mandatory Redemption Price.

  • The Escrow Agent has no responsibility whatsoever to determine the market or other value of any Eligible Escrow Investment and makes no representation or warranty, express or implied, as to the accuracy of any such valuations or that any values necessarily reflect the proceeds that may be received on the sale of an Eligible Escrow Investment.

  • For the avoidance of doubt, to the extent that the value of any Escrow Investment declines, the Company shall not have any obligation to deposit additional funds in the Escrow Account or to ensure that at all times the aggregate amount of the Escrowed Funds equals or exceeds the Special Mandatory Prepayment Price.

  • Each such direction shall constitute certification by the Escrow Borrower that the investment so directed is an Eligible Escrow Investment.

Related to Escrow Investment

  • Escrow Items means those items that are described in Section 3.

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Escrow Instructions has the meaning ascribed to such term in Section 4.3.

  • Private Investment means a securities offering that is exempt from registration under certain provisions of the U.S. securities laws and/or similar laws of non-U.S. jurisdictions. It includes investments in hedge funds, private equity funds, limited partnerships, real estate, peer to peer lending clubs and private businesses.

  • Joint Venture Investment means, with respect to any Person, any Investment by such Person in a joint venture or other investment vehicle in the form of a capital investment, loan or other commitment in or to such joint venture or other investment vehicle pursuant to which such Person may be required to provide contributions, investments, or financing to such joint venture or other investment vehicle and which Investment the Borrower has designated as a “Joint Venture Investment”.
