Estoppel Condition definition

Estoppel Condition shall have the meaning ascribed to it in Section 9.2(a)(v).
Estoppel Condition means the closing conditions set forth in paragraph 5.2(g).
Estoppel Condition. Major Tenants" mean those Tenants set forth on EXHIBIT N annexed hereto. The Tenant Estoppel Certificates shall be substantially in the form of and upon substantially the terms set forth on EXHIBIT O annexed hereto. The Owners shall deliver the original executed Tenant Estoppel Certificates to Cedar as and when the same shall be delivered to the Owners, but in no event later than two (2) Business Days prior to the Closing Date. If any Tenant Estoppel Certificate shall have been modified or qualified in any fashion that, individually or in connection with other Tenant Estoppel Certificates, reveals facts, conditions or circumstances which result or may result in a material adverse change in the financial condition of the Property, or are inconsistent in any material respect with the representations of the Owners set forth in Section 4.1 above, then Cedar may disapprove the same (such disapproved Tenant Estoppel Certificates, the "Unacceptable Certificates") by notice delivered to the Owners promptly following Cedar's receipt of such Unacceptable Certificate, and, for purposes of establishing whether the Estoppel Condition has been satisfied, any Unacceptable Certificates shall be deemed not to have been received.

  • In the event that Seller is unable to satisfy the Tenant Estoppel Condition by the Estoppel Return Date, Seller shall not be in default under this Agreement.

  • Notwithstanding the foregoing, Purchaser shall have the right but not the obligation to seek to satisfy the Estoppel Condition for and on behalf of Seller and Seller shall cooperate with Purchaser in connection therewith.

  • Seller's failure to satisfy the Estoppel Condition shall not be a default by Seller hereunder.

  • In the event Seller cannot for any reason obtain the Tenant Estoppels, Seller, at its option, may satisfy the Estoppel Condition with respect to any tenant(s) other than the Required Tenants by delivering to Buyer, an estoppel certificate in the form of Exhibit J-2 attached hereto and incorporated herein by this reference for tenant(s) which (together with the estoppel certificates actually obtained from tenants) occupy all of the rentable square feet currently subject to Leases.

  • In the event that Purchaser so chooses but is unable to satisfy the Estoppel Condition on or before the date set for Closing, then Purchaser shall have the right to terminate this Agreement, upon notice to Seller.

  • In the event of such failure, Buyer's sole remedy shall be to either (i) waive the Estoppel Condition and proceed to Closing without any reduction in the Purchase Price, or (ii) terminate this Agreement, in which event the Deposit shall be returned to Buyer and the parties shall have no further rights or obligations hereunder except for obligations which expressly survive the termination of this Agreement.

  • Further, either Purchaser or Seller may extend the Closing Date for up to an aggregate (between both Seller and Purchaser) of fifteen (15) Business Days in the event that either the Tenant Estoppel Condition (as defined in Section 8 below) or the condition set forth in Section 12(d)(viii) (the RDA Estoppel) has not been satisfied or waived prior to the Estoppel Deadline (as defined in Section 8 below), by giving notice to the other on or before three (3) days prior to the then scheduled Closing Date.

  • Purchaser shall have received Tenant Estoppel Certificates to satisfy the Estoppel Condition.

  • One (1) executed original copy of each Tenant Estoppel received by Seller, including without limitation all of the Tenant Estoppels meeting the Tenant Estoppel Condition (unless the Tenant Estoppel Condition is waived by Purchaser).

  • Estoppel Letter A document executed by the Cooperative Corporation certifying, with respect to a Cooperative Unit, (i) the appurtenant Proprietary Lease will be in full force and effect as of the date of issuance thereof, (ii) the related stock certificate was registered in the Mortgagor's name and the Cooperative Corporation has not been notified of any lien upon, pledge of, levy of execution on or disposition of such stock certificate, and (iii) the Mortgagor is not in default under the appurtenant Proprietary Lease and all charges due the Cooperative Corporation have been paid.

  • Estoppel Certificate As defined in Section 23.1(a).

  • Special Conditions means Special Conditions of Contract, which override the General Conditions, also referred to as SCC.

  • General Condition means these General Terms and Conditions of Contract.

  • Environmental Conditions means any conditions of the environment, including, without limitation, the work place, the ocean, natural resources (including flora or fauna), soil, surface water, ground water, any actual or potential drinking water supply sources, substrata or the ambient air, relating to or arising out of, or caused by the use, handling, storage, treatment, recycling, generation, transportation, Release or threatened Release or other management or mismanagement of Regulated Substances resulting from the use of, or operations on, the Property.

  • Cure Deadline shall have the meaning provided in Section 11.11(a).

  • Cure means a Claim (unless waived or modified by the applicable counterparty) based upon a Debtor’s defaults under an Executory Contract or an Unexpired Lease assumed by such Debtor under section 365 of the Bankruptcy Code, other than a default that is not required to be cured pursuant to section 365(b)(2) of the Bankruptcy Code.

  • Space Lease The space or occupancy lease pursuant to which any Borrower holds a leasehold interest in the related Mortgaged Property, together with any estoppels or other agreements executed and delivered by the lessor in favor of the lender under the related Mortgage Loan(s).
