Excluded Foreign Collateral definition

Excluded Foreign Collateral means (a) any accounts receivable and other contract rights to payment payable by non-U.S. Persons organized in China, India or Saudi Arabia to the Borrower or any Domestic Subsidiary and (b) inventory of the Borrower or any Domestic Subsidiary physically located outside of the United States, in each case in respect of which the Administrative Agent and the Collateral Agent have released the Lien granted pursuant to the Security Documents in accordance with Section 10.13.
Excluded Foreign Collateral means all assets and property owned by the Excluded Foreign Grantors and subject to the ABL Loan Documents, including, without limitation, the “Canadian Collateral” (as defined in the ABL Loan Agreement).

  • Notwithstanding the foregoing, (i) the Collateral shall not include Excluded Foreign Collateral, (ii) all of the foregoing Collateral shall ratably secure all the Obligations (other than Obligations in respect of Borrowed Debt), (iii) all of the Unrestricted Collateral shall also ratably secure the Obligations in respect of Borrowed Debt and (iv) all of the Restricted Collateral shall also secure the Restricted Secured Indebtedness.

Excluded Foreign Collateral shall have the meaning assigned to such term in the Agreed Guaranty and Security Principles, subject to the DIP Order.
Excluded Foreign Collateral means (a) any Capital Stock of a Canadian Subsidiary (as defined in the Revolving Credit Agreement) that is a Subsidiary of a AMLCC and (b) all assets and property owned by the Excluded Foreign Grantors and subject to the Revolving Loan Documents, including, without limitation, (x) all “Collateral” (as defined in the Canadian Security Agreement) (as defined in the Revolving Credit Agreement)) and (y) all “Collateral” (as defined in the Canadian Pledge Agreement (as defined in the Revolving Credit Agreement)).
Excluded Foreign Collateral means, in addition to such assets as are excluded from Collateral pursuant to the terms of the Security Documents, Equity Interests constituting more than 65% of the total voting Equity Interests of any Foreign Subsidiary or Foreign Holding Company. For the sake of clarity, (i) Excluded Foreign Collateral shall include any property or assets of a CFC (whether held directly or indirectly) and (ii) no Excluded Foreign Collateral shall be required to be pledged as collateral to secure any of the Loans.

  • Foreign Collateral means all Collateral of Foreign Loan Parties securing the Guaranteed Foreign Obligations.
