In the event the Execution Agent is unable to achieve the Reference Price, Certificateholders will receive less than the Reference Price, and the Execution Agent will have no other liability to pay the difference to any of the Issuer, the Trustee or any Certificateholder.
The two most material risks in this Risk Category 4 (Risks related to conflicts of interest) are the risks set out under 4.1 (Conflict of Interests in relation to the Execution Agent) and 4.2 (Conflicts of interest in relation to the Authorised Participants).
In addition, situations may arise where there is a conflict between the role of the Execution Agent acting in that capacity and its capacity as Certificateholder.
