Exit Shares definition

Exit Shares means the 500,000 shares of Common Stock of New NTL with a par value of $0.01 per share to be purchased by the providers of the New NTL Exit Facility on or before the Plan Effective Date.
Exit Shares means the shares for which pursuant to article 2:333h and 2:333i Dutch Civil Code a compensation needs to be paid upon being requested thereto by shareholders, who vote against the intended merger between the Company and the Acquiring Company in the General Meeting due to article 2:333h Dutch Civil Code, and further in accordance with the terms and conditions of the Merger Proposal;

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Common Stock means the common stock of the Company.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • Equivalent Shares means Preferred Shares and any other class or series of capital stock of the Company which is entitled to the same rights, privileges and preferences as the Preferred Shares.

  • A Ordinary Shares means the A ordinary shares of £0.01 each in the capital of the Company;

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Company Convertible Securities means, collectively, any other options, warrants or rights to subscribe for or purchase any capital shares of the Company or securities convertible into or exchangeable for, or that otherwise confer on the holder any right to acquire any capital shares of the Company.
