Each option to expand requires notice of the exercise of the option by the applicable Expansion Notice Date (hereinafter defined), time being of the essence, and the space which is the subject of such option to expand shall be delivered by Landlord to Tenant by the applicable Expansion Delivery Date (as hereinafter defined).
If the Expansion Notice is not so given, the Expansion Option shall, except as provided in (b) below, automatically lapse; Tenant hereby expressly acknowledges and agrees that time is of the essence for purposes of delivering the Expansion Notice and that Tenant's failure to do so by the Final Expansion Notice Date will relieve Landlord of any obligation under this Paragraph 52.
The foregoing shall apply only to Atrium Adjacent Spaces on the first (1st) floor of the Building and only until the expiration of the Atrium Expansion Notice Date and shall not apply to any other office space on the first (1st) floor or elsewhere in the Building which shall continue to be governed by the definition of Prior Rights set forth in Section 17.1(d) of the Lease.
If an Acceptable Expansion Building is available, Tenant and Landlord shall negotiate in good faith the terms of the lease for the Acceptable Expansion Building ("Expansion Building Lease"), and shall enter into such lease no later than sixty (60) days after the Expansion Notice Date.
