Extended Research Program Term definition

Extended Research Program Term shall have the meaning set forth in Section 2.10.
Extended Research Program Term has the meaning set forth in Section 2.2.
Extended Research Program Term means any period of the Research Program as it may be extended by mutual agreement of the Parties, as described more fully in Section 2.10.

  • In the event that Merck opts to extend the Research Program Term for a second year or the Parties mutually agree to extend the Research Program Term beyond any such second year, in each case in accordance with Section 2.7, the Parties shall mutually agree upon the number of Metabasis FTEs to be devoted to the Research Program for each Calendar Year during such Extended Research Program Term, all of which shall be funded by Merck in accordance with Section 5.2.

  • Notwithstanding anything contained herein to the contrary, after expiration or termination of the initial Research Program Term or any Extended Research Program Term, Merck shall have the right to terminate this Agreement at any time by giving ninety (90) days advance written notice to Isis.

  • During the Research Program Term and any Extended Research Program Term, Isis shall work exclusively with Merck in the Research Field.

  • During the Research Program Term and any Extended Research Program Term, Transcell shall retain the right to use Transcell Intellectual Property and Interneuron shall retain the right to use Interneuron Intellectual Property (i) in the Field, solely for the purposes of performing their obligations under the Research Program and (ii) outside of the Field for any purpose, subject to Section 3.3 below.

  • Unless the Research Program is terminated, the parties may agree to extend the Research Program Term for (a) one or more additional one-year terms or (b) one additional term of a period of at least six (6) months but less than one (1) year (each an "Extended Research Program Term".

  • In accordance with Section 2.1.5.3 and the terms of the Agreement, Merck shall pay to Sutro a one-time, non-refundable, non-creditable payment for the Extended Research Program Term in the amount of US$ [*] within thirty (30) days after the Effective Date of this Amendment #2.

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Development Activity means any activity defined as Development which will necessitate a Floodplain Development Permit. This includes buildings, structures, and non-structural items, including (but not limited to) fill, bulkheads, piers, pools, docks, landings, ramps, and erosion control/stabilization measures.

  • Project Term the period from the Operation Commencement Date to the Expiry Date or the Termination Date, whichever occurs first, which is further described in Clause 3;

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.
