Facility Contractor definition

Facility Contractor means each independent contractor of Seller or the Selling Affiliates who provides substantial services in connection with the operation of the Xxxxx Xxxxx Facility, being (A) those individuals set forth on Section 9.01 of the Seller Disclosure Schedule, as the same may be updated consistent with the terms of this Agreement and (B) such other independent contractors who may be engaged by Seller or the Selling Affiliate in connection with the operation of the Xxxxx Xxxxx Facility between the date hereof and the Closing Date and who are described by the above clause; provided that the term “Facility Contractor” does not include anyone designated as an “Excluded Contractor”

Facility Contractor means Xxxxxx Xxxxxxxx Junior University as Operator of SLAC National Accelerator Laboratory operating under DOE Prime Contract No. DE-AC02-76SF00515 or any successor contractor thereof.

Facility Contractor means Fermi Research Alliance, LLC as Operator of Fermi National Accelerator Laboratory operating under DOE Prime Contract No. DE-AC02-07CH11359 or any successor contractor thereof.

• During the time that Contractor’s agents, employees, or subcontractors are at a Facility, Contractor and such persons shall be subject to the rules and regulations of that Facility.

• The Sponsor will not use the name of Facility Contractor or the United States Government or their employees in any promotional activity, such as advertisements, with reference to any product or service resulting from this Agreement, without prior written approval of the Government and Facility Contractor.

• In the event of termination either by the Sponsor or by the Facility Contractor (e.g., for lack of advance funding), the Sponsor shall be responsible for the Facility Contractor’s costs (including closeout costs), but in no event shall the Sponsor’s cost responsibility exceed the total cost to the Sponsor as described in Article III, above.

• The Facility Contractor has no obligation to continue or complete performance of the work at a cost in excess of its estimated cost, including any subsequent amendment.

• If Contractor identifies an opportunity for a cost beneficial non-necessary improvement of the Facility, Contractor may issue a Scope Change Notice to notify Owner of the existence of such opportunity.

• Contractor further agrees that, in connection with the financing or refinancing of the Facility, Contractor shall, at the request and expense of Owner, provide an opinion of counsel as to the enforceability against Contractor of this Agreement until expiration of the last Warranty Period.
