Fees Letters definition

Fees Letters means the fees letters referred to in Clauses 16.2 (Arrangement and Underwriting Fee), 16.3 (Agency Fee) and 16.5 (L/C Bank Fee).

Fees Letters means (a) a letter dated 12 June 2005 from the Original Mandated Lead Arrangers to Bidco, (b) a letter dated 12 June 2005 from the Documentation Agent to Bidco, (c) the Amendment Fee Letter and (d) the Work Fee Letter; in each case setting out details of certain fees payable in connection with the Facilities and referred to in Clause 10 (Fees);

Fees Letters means the Agency Fees Letter and the Arranger's Fees Letter;

Examples of Fees Letters in a sentence

• Original duly executed copies of the Fees Letters and evidence that all fees and expenses (excluding legal fees) due and payable under this Agreement or in connection with this Agreement as at the date of first Utilisation, the quantum of which have been notified to the Company in writing no less than two Business Days prior to the Merger Closing Date, have been paid.

• Bidco will pay or procure payment of the arrangement, underwriting and other fees in the amounts and at the times and otherwise as specified in the Fees Letters.

• The Head Lessee shall pay the Fees in accordance with the terms of the Fees Letters.

• For the avoidance of doubt, all liabilities and obligations of the Company under the Upfront Fees Letters and the Agency Fees Letter shall be deemed to be incurred under this Agreement.

More Definitions of Fees Letters

Fees Letters means the letters signed by the [Head Lessee] in relation to the payment of any fees in relation to the financing and leasing of the Aircraft. Final Disposition means:

Fees Letters means together the Security Trustee Fee Letter and the Bond Trustee Fee Letter;
