Final Execution Period definition

Final Execution Period means the period from (and including) the date by which a Hypothetical Broker Dealer determines, after the occurrence of the relevant event and in a commercially reasonable manner, that it would be necessary to terminate or liquidate its Applicable Hedge Positions to (and including) the earliest date by which a Hypothetical Broker Dealer could terminate or liquidate the entirety of its Applicable Hedge Positions in a commercially reasonable manner (such later date, the “Final Execution End Date”).
Final Execution Period means the period from (and including) the Valuation Date to (and including) the earliest date by which a Hypothetical Broker Dealer could terminate or liquidate the entirety of its Applicable Hedge Positions in a commercially reasonable manner (such later date, the “Final Execution End Date”). For the avoidance of doubt, upon the occurrence of any event as provided under the Additional Termination Events section, “Final Execution Period” shall mean the period from (and including) the date by which a Hypothetical Broker Dealer determines, after the occurrence of the relevant event and in a commercially reasonable manner, that it would be necessary to terminate or liquidate its Applicable Hedge Positions to (and including) the earliest date by which a Hypothetical Broker Dealer could terminate or liquidate the entirety of its Applicable Hedge Positions in a commercially reasonable manner (such later date, the “Final Execution End Date”).
Final Execution Period means the period from (and including) the Actual Exercise Date to (and including) the earliest date by which a Hypothetical Broker Dealer could realise or dispose the entirety of its Applicable Hedge Positions in a commercially reasonable manner (such date, the "Final Execution Date"). The definition of "Final Execution Period” in LEPW Condition 2 shall be deemed to be amended accordingly.

More Definitions of Final Execution Period

Final Execution Period means the period from (and including) the Actual Exercise Date to (and including) the earliest date by which a Hypothetical Broker Dealer could acquire or dispose the entirety of its Applicable Hedge Positions in a commercially reasonable manner (such later date, the "Final Execution Date");
Final Execution Period means the period from (and including) the Valuation Date to (and including) the earliest date by which the Issuer and/or its Affiliates could complete the sale of the required number of Underlying Equities or as determined by the Calculation Agent in its sole and absolute discretion.
Final Execution Period means the period from (and including) the final Valuation Date to (and including) the earliest date by which the Hedging Party could terminate or liquidate the entirety of its Hedge Positions in a commercially reasonable manner (such later date, the “Final Execution Date”).

Related to Final Execution Period

  • Negotiation Period has the meaning given in Clause 5.10;

  • Billing Period means (subject to Article 6.1 of the Agreement) the calendar month ending with the Metering Date. The first Billing Period shall commence from the Commercial Operation Date and end with the Metering Date corresponding to the month in which the Commercial Operation Date occurs.

  • Certification period means the period for which an individual is certified eligible for a program.

  • Evaluation Period has the meaning ascribed to such term in Section 5.1.

  • Consultation Period means the period of sixty (60) days or such longer period as the Parties may agree, commencing from the date of issue of a TSP’s Preliminary Notice or a Nodal Agency’s Preliminary Termination Notice, as provided in Article 13 of this Agreement, for consultation between the Parties to mitigate the consequence of the relevant event having regard to all the circumstances;

  • Operating Period for any Element of the Project shall mean the period from (and including) the COD of such Element of the Project, up to (and including) the Expiry Date and for the Project, shall mean the period from (and including) the COD of the Project, up to (and including) the Expiry Date;

  • PAL effective period means the period beginning with the PAL effective date and ending 10 years later.

  • Summer Period means the June, July, August, and September billing months. “Winter Period” means the December, January, February, and March billing months. “Transition Period” means the April, May, October, and November billing months.

  • Affiliation period means a period which, under the terms of the health insurance coverage offered

  • Rolling Period means, as of any date, the four Fiscal Quarters ending on or immediately preceding such date.

  • Post-Closing Period means any taxable period (or portion thereof) beginning after the Closing Date.

  • Examination Period means the last ten reporting cycles including the reporting cycle in which the involuntary examination is commenced except for instruments evidencing ownership, or rights to them or funds paid toward the purchase of them, or any dividend, capital credit, profit, distribution, interest, or payment on principal or other sum, held or owed by a holder, including funds deposited with a fiscal agent or fiduciary for payment of them, or pertaining to debt of a publicly traded corporation.

  • Allocation Period means the period (a) commencing on the date hereof or, for any Allocation Period other than such first Allocation Period, the day following the end of a prior Allocation Period and (b) ending (A) on the last day of each Fiscal Year, (B) on the day preceding any day in which an adjustment to the Book Value of the C.V.’s properties pursuant to clause (b)(i), (ii), (iii) or (v) of the definition of Book Value occurs, (C) immediately after any day in which an adjustment to the Book Value of the C.V.’s properties pursuant to clause (b)(iv) of the definition of Book Value occurs, or (D) on any other date determined by the Managing Partner.

  • Transition Period means the period beginning with the Registration Date and ending as of the earlier of: (i) the date of the first annual meeting of stockholders of the Company at which directors are to be elected that occurs after the close of the third calendar year following the calendar year in which the Registration Date occurs; and (ii) the expiration of the “reliance period” under Treasury Regulation Section 1.162-27(f)(2).

  • Notification Period means a set period of time between the submittal of a Notice of Intent and the beginning of lead - based paint abatement activities (including all on-site worksite preparation).

  • Election Period means the period immediately preceding the beginning of each Plan Year established by the Administrator, such period to be applied on a uniform and nondiscriminatory basis for all Employees and Participants. However, an Employee's initial Election Period shall be determined pursuant to Section 5.1.
