Final Orders definition

Final Orders means the later of a final judgment pronounced by a Court approving this Settlement Agreement in accordance with its terms, once the time to appeal such judgment has expired without any appeal being taken, if an appeal lies, or once there has been affirmation of the approval of this Settlement Agreement in accordance with its terms, upon a final disposition of all appeals.
Final Orders means, on application of the Company, orders that the Scheme will be binding on the Company, the Acquirer, Mercury, Mercury Windfarms, Scheme Shareholders and/or such other persons or class of persons as the Court may specify, in accordance with section 236(1) (and section 237, if applicable) of the Companies Act.
Final Orders means that the FCC Orders shall have become final that such FCC Orders are not reversed, stayed, enjoined or set aside, and with respect to such FCC Orders, no timely request for stay, reconsideration, review, rehearing or notice of appeal is pending, and as to which FCC Orders the time set forth in the FCC rules or the Communications Act of 1934, as amended (the "COMMUNICATIONS ACT"), for filing any such request, petition or notice of appeal or for review by the FCC staff on its own motion has expired.

Examples of Final Orders in a sentence

  • If the Court’s approval of the Scheme in accordance with section 236(1) of the Companies Act would impose any terms or conditions other than those set out in the form of Scheme Plan attached as Schedule Six, then each such term or condition must be approved in writing by the Target and the Bidder (both acting reasonably) prior to the Court granting the Final Orders.

  • The Parties have engaged in good-faith discussions regarding the Final Orders and have agreed that settlement of these proceedings will avoid further administrative proceedings or litigation, and that entry of this Consent Agreement and Order is the most appropriate means of resolving the Final Orders without additional adjudication of any issue of fact or law.

More Definitions of Final Orders

Final Orders means orders of the Court on application of Abano that the Scheme be binding on Abano, Bidco, Scheme Shareholders and/or such other person or class of persons as the Court may specify, subject to the conditions in clause 2, in accordance with section 236(1) (and section 237, if applicable) of the Companies Act.
